Reporting to the Senior Director, Assistant General Counsel, below is an overview of the duties and responsibilities associated with this position:Provide leadership, mentorship, and guidance to direct reports; support development and drive team effectivenessOversee the preparation and maintenance of corporate records and governance documentation, including bylaws, resolutions, minutes, officer and director records, and related organizational materialsProactively identify and address governance needs across entity structures, taking into account evolving legal requirements, business priorities, and leadership considerationsManage periodic reviews of corporate entities with stakeholders to ensure accuracy and completeness of recordsAssist with entity formation, registration, DBA filing, and dissolution activities across multiple jurisdictionsManage compliance filings and ongoing corporate maintenance tasksConduct research related to corporate governance, entity compliance, and related considerationsSupport equity and option administration processesProvide due diligence and transactional support in connection with strategic initiativesCollaborate cross-functionally to coordinate required actions; support Finance, Compliance, Tax, and Treasury teams with matters such as bank account documentation, capital market activities, audits, and other requestsIdentify and execute opportunities to improve efficiencies related to the above tasksFlexibility to take on special projects and additional responsibilities, as needed Minimum Requirements:Associate's degree required or in lieu of an associate's degree 5+ years of paralegal experience required6-8 years of experience in a corporate legal department, law firm, or related experienceStrong working knowledge of corporate governance principles, subsidiary structures, and entity-level compliance considerationsPrior managerial and supervisory experienceExperience supporting multi-entity environments and transaction-driven governance matters within a regulated industrySignificant experience with entity management, including entity formation, regulatory filings and corporate actionsAbility to communicate directly and effectively with high levels of management throughout the company, outside counsel, and with third-party partiesExperience with and mastery of the Microsoft 365 suite: Outlook, Word, PowerPoint, Excel, SharePoint, and leveraging tools, including AI-enabled assistants to support drafting and workflow efficiency in a professional services or legal environmentAbility to prioritize, organize and manage multi-task work independentlyProcess orientedAbility to get results through self and othersAbility to maintain proprietary, trade secret, and confidential informationStrong verbal and written communication skills, with high level of maturity, personal initiative, and sound judgmentAbility to occasionally join meetings in the Effingham, IL or Creve Coeur, MO office for onboarding, training, team offsites, company events, etc. Job Details Req ID: 121403 Supported Practice: Heartland Dental Category: Legal Location: 1200 Network Centre Drive, Effingham, IL 62401 Salary: $85,500.00 - $110,000.00 per year Position Summary: Manager, Senior Corporate Paralegal - Corporate Governance and IPHeartland Dental has an exciting opportunity to join our Legal Team.
