Location: This is an on-site role based in Silicon Valley, California. Priority will be given to candidates who can work from the office locally, although exceptional candidates may be considered on a case-by-case basis.

Note: Qualified candidates should have 3+ years of U.S. transactional experience involving venture capital, private equity, securities offerings, corporate finance, or related corporate transactions. California Bar admission is preferred, but exceptional candidates may still be considered.

Job Description

  • Lead and support venture capital, growth equity, private equity, and corporate finance transactions.
  • Draft, review, and negotiate term sheets, purchase agreements, investor rights agreements, financing documents, and related transaction materials.
  • Manage deal execution from start to finish, including due diligence, closing checklists, transaction coordination, and client communication.
  • Advise companies, investors, and funds on U.S. corporate governance, securities law compliance, and financing structures.
  • Support M&A transactions, IPO-related matters, cross-border capital markets work, and inbound/outbound investment activity.
  • Work closely with partners across U.S. and international offices on complex corporate matters.
  • Communicate directly with clients and help drive transactions forward in a fast-moving deal environment.

Qualifications

  • J.D. or LLM from an accredited U.S. law school.
  • 3+ years of U.S. transactional legal experience at a law firm or in-house legal department.
  • Experience with venture capital, private equity, corporate finance, securities offerings, M&A, or emerging companies work.
  • Strong understanding of U.S. corporate governance, securities regulations, and transaction documentation.
  • Ability to manage multiple active transactions and shifting priorities.
  • Strong drafting, communication, analytical, and client-service skills.
  • California Bar admission preferred.
  • Mandarin language skills strongly preferred.
