    Job Summary:

    This role will support our senior legal staff in managing a wide range of legal matters, including contract review, compliance issues, risk management, litigation, and corporate governance.

    Essential Duties and Responsibilities:

    • Draft, review, and negotiate a wide variety of commercial contracts for upstream oil & gas production.
    • Contract management and administration including master service agreements, client contracts, supply agreements, confidentiality agreements, and subcontracts, change management, claim mitigation strategies, and contract disputes.
    • Provide legal support to Operations to ensure compliance with federal, state and local regulations and company Code of Conduct.
    • Support internal investigations.
    • Oversee entity management and registered agent activities.
    • Negotiate real estate documents, including leases, and provide oversight of the Company's real property portfolio.
    • Interact with support functions and departments, ensuring involvement of Legal in all matters that may have a legal impact on the company.
    • Work closely and collaboratively with our clients which include the world"s largest energy companies.
    • Implement, draft and update procedures, practices, guidelines and templates.
    • Participate in litigation management including assisting outside counsel.
    • Provide legal support and identify and assess legal risks regarding employment matters.
    • Proactively identify and manage risks to ensure business continuity and avoid business interruption.
    • Assist with records retention compliance and document control.
    • Participates with legal department personnel in budget preparation.
    • Assists General Counsel with document preparation as required in connection with domestic business and transactions.
    • Supports transactional due diligence including any corporate level or document review.
    • Performs other related duties as assigned.

    Required Qualifications:

    • Must be admitted to practice law in at least one state in the USA.
    • Minimum of five (5) or more years of experience, preferably in an in-house counsel role and in the oil & gas industry.
    • Extensive experience negotiating commercial agreements.
    • Exposure in the areas of litigation, real estate, ethics & compliance, employment matters preferred.
    • Ability to act independently, handle multiple projects, prioritize, and meet deadlines.
    • Ability to function effectively and efficiently with minimal administrative support, including typing skills and ability to work with Microsoft Office suite.
    • Ability to collaborate in a team environment.
    • Business acumen with a solution-oriented approach
    • Ability to exercise initiative and independent judgment.
    • Ability and willingness to conduct and/or attend meetings, including evenings.
    • Ability to handle complex and substantial legal work.
    • Ability to establish and maintain effective working relationships with good customer service principles.
    • Multi-tasking capabilities.
    • Demonstrated leadership and supervisory abilities.

    Education Requirements:

    • J.D. degree from an American bar Association (ABA)-accredited law school.
