The Role We Want You ForWe are seeking a senior associate counsel for our growing concrete business, Concrete Strategies, a subsidiary of Clayco. We are looking for experience with real estate construction subcontracts; prime contracts, AIA, Consensus, DBIA Forms, sufficient to negotiate and conclude contract terms and assist with project related challenges or disputes through project close-out, including assisting with change orders and claims as needed. Familiarity with commercial business transactions and legal forms, including purchase orders, lien waivers and releases. Professional collaborative aptitude and ability to assist with all matters related to legal team support for firm operations. The ideal candidate for this position is a team player, with a positive attitude, willing to learn, has a strong work ethic, exceptional problem‑solving skills and is comfortable working in a fast‑paced and dynamic workplace.The Specifics of the RoleComplete contract administrative duties as requested such as reviewing, analyzing and negotiating construction subcontracts, purchase orders, MSA's and other related contracts as needed to consummate construction projectsReview of requests for proposal (RFP's) and bidding requirements and assistance with the preparation of RFP contracts and related bidding documentsAssisting with Project change orders, contract modifications, disputes, as neededAssist General Counsel with responses to contract related claims (claims for delay, substantial completion claims, and related disputes, including management of documentation related to mediation, arbitration and / or litigation)Familiarity with construction, material supplier subcontracts, AIA standard form contracts, purchase orders, and related terms and conditionsAdvising and training business admin teams on commercial contracts, including subcontract and material supplier contracts terms and conditions, vendor and service contracts terms and conditions, credit application terms and conditions, confidentiality and non‑disclosure agreements, professional service agreements, maintenance contracts, and leasesReview and / or preparation of lien wavers and related affidavitsReviewing and responding to third party subpoenas and litigation discovery requests, including research, review and preparation of responsive documentsReviewing, research, and responding to claims of lien against project sites / real estate by third party subcontractors or material suppliersMaintain and update legal and other databases with current information on status of pending mattersReview and prepare litigation status reportsRequirementsLaw degree is required2-4 years' experience with construction real estate mattersUnderstanding of commercial construction contracts, material supplier subcontracts, AIA form contracts, and purchase ordersMotivated, hardworking, team playerSome Things You Should KnowOur clients and projects are nationwide – Travel will be requiredNo other builder can offer the collaborative design‑build approach that Clayco doesWe work on creative, complex, award‑winning, high‑profile jobsThe pace is fastCandidates selected for this position will be subject to a comprehensive background check, which includes mandatory drug testingBenefitsDiscretionary Annual Bonus: Subject to company and individual performanceComprehensive Benefits Package Including: Medical, dental and vision plans, 401k, generous PTO and paid company holidays, employee assistance program, flexible spending accounts, life insurance, disability coverage, learning & development programs and moreCompensationThe salary range for this position considers a wide range of factors in making compensation decisions including but not limited to: Education, qualifications, skills, training, experience, certifications, internal equity, and location.
