    What you will do:

    The Project Counsel will provide legal advice to EDPR NA personnel regarding all aspects of utility-scale renewable energy project development, construction, finance and operations. The Project Counsel will support the preparation and negotiation of various agreements and provide support to M&A, financing and other transactions in accordance with EDPR NA objectives and policies. The Project Counsel will also handle day-to-day project-related legal issues and analyze exposure to risk factors while complying with departmental guidelines, policies and all applicable laws in order to ensure that EDPR NA's project documents and activities meet all applicable requirements.

    Provide legal expertise and support to EDPR NA staff in the development, execution, financing, administration, and operations of utility-scale renewable energy projects

    Work with development project teams throughout the development process by providing legal advice on issues as they arise and providing solutions that meet project objectives while complying with company policies and guidelines

    Timely prepare, negotiate, and finalize various project agreements including power purchase agreements, capital equipment supply and warranty agreements, construction agreements, interconnection agreements, engineering and consulting service agreements, operations and maintenance agreements, confidentiality agreements, filings, and applications to various local, state, and federal agencies (including FERC)

    Manage external legal resources to ensure efficient and effective completion of tasks

    Support EDPR NA's project documentation and compliance functions

    Support Identification of critical project risks and make recommendations regarding resolution/management

    Support project financing, M&A and equity sale processes, including assisting in due diligence efforts, schedule preparation, and assisting lead counsel on such transactions

    What are we looking for:

    • Juris Doctorate
    • 2-5 years of law firm or in-house counsel experience with emphasis on transactions and document drafting and negotiation
    • Experience in project development, construction, and operations of large projects
    • Experience in the renewable energy industry, solar, wind and battery storage, preferred
    • Licensure to practice law in at least one state, preferably Texas
    • Knowledge of a wide variety of project development contracts including construction agreements, operation and maintenance agreements, engineering and consulting services agreements, confidentiality agreements, purchase agreements, and other relevant documentation along with how corporate entities operate and are organized within the power industry
    • Project finance and/or tax equity financing, M&A and equity sale transaction experience preferred
    • Understanding of Microsoft products and/or complementing products preferred.
    • Competency in Analytical Problem Solving, Strong Communication, Customer/Partner Relationships, and Technology Expertise preferred

    Physical demands & working conditions:

    • Sitting/Standing/Flexibility: Ability to stand and sit for 8 or more hours when in an office environment
    • Speech/Reading: Ability to speak, read, and write English proficiently and deliver a variety of instructions furnished in written verbal, diagram, or schedule form; proficiency in Spanish preferred but not required
    • Lifting: Ability to lift items weighing up to 10 pounds
    • Vision/Hearing: Ability to understand a variety of instructions furnished in written, verbal, diagram, or schedule form
    • Safety: Ability to understand and communicate safety precautions when necessary
