Job Description
Direct Counsel is partnering with a prestigious AmLaw 10 law firm to identify an Investment Funds – Regulatory Associate to join its New York office. This role sits within a market-leading investment funds regulatory practice, offering associates the opportunity to work on sophisticated regulatory and compliance matters for leading fund sponsors and asset managers.

This position provides a dynamic mix of work, including fund formation support, regulatory compliance counseling, and interaction with SEC examination and enforcement matters.

Key Responsibilities
  • Review and analyze private fund offering materials and fund governing documents

  • Advise clients on regulatory compliance matters relating to investment funds

  • Assist with SEC filings and regulatory reporting requirements

  • Support clients in SEC examinations and regulatory inquiries

  • Conduct research and provide guidance on federal securities laws and regulatory frameworks

  • Collaborate with transactional and regulatory teams on fundraising and fund-related transactions

Qualifications
  • 1–3 years of investment funds regulatory experience at a global or top-tier law firm

  • Experience reviewing fund offering documents and governance materials

  • Strong familiarity with the Investment Advisers Act of 1940

  • Familiarity with the Investment Company Act of 1940 and Securities Act of 1933 preferred

  • Experience preparing SEC filings and responding to regulatory examinations

  • Strong analytical, research, and writing skills

  • Admission to the New York Bar required
