UTIMCO is currently seeking an Investment Counsel or Senior Investment Counsel to provide support to the Associate General Counsel, General Counsel, UTIMCO senior management, and the UTIMCO investment team in all legal matters. Approximately 85% of the work will focus on supporting UTIMCO in its globally diversified institutional portfolio across private markets, hedge funds, public markets, and derivatives. The remaining responsibilities will involve UTIMCO corporate legal matters, including Board governance, vendor contracts, labor and employment, audit matters and tax. The Attorney is expected to work closely with the Associate General Counsel, Senior Investment Counsel, and Legal and Compliance team and will interface with most UTIMCO investment and operations staff. This position reports to the Associate General Counsel. The successful candidate will have a servant leader mindset and be enthusiastic about supporting UTIMCO’s mission to grow its endowment for research, education, advancements in the world and the treatment of patients.  

 

Broad Responsibilities Include:

  • Review legal documents and lead the negotiation of investment terms for a variety of private markets (private equity, venture capital, real estate, infrastructure and energy and natural resources), public markets, hedge funds, and direct investments
  • Review and negotiate derivatives documentation (e.g., ISDAs, CSAs, ACAs) and provide advice regarding trading agreements, regulatory requirements, and related compliance matters
  • Provide legal analysis and guidance regarding proper structuring of entities to hold investments, including use of onshore and offshore blocker corporations, unrelated business income tax issues, foreign regulatory requirements, and legal developments
  • Navigate the laws, rules, and regulations applicable to investment managers (e.g., Investment Advisers Act of 1940, Investment Company Act of 1940, Securities Act of 1933, Securities Exchange Act of 1934, CFTC Rules and Regulations, ERISA, etc.)
  • Support the due diligence process for evaluating and underwriting prospective managers
  • Actively manage outside investment counsel
  • Advise on UTIMCO corporate matters, including fiduciary and ethics matters, labor and employment matters, procurement and contracting, tax, preparation and interpretation of relevant policies and procedures and federal and state law matters
  • Develop and update internal forms and models
  • Perform legal research and assist with various other legal, regulatory and/or training projects as needed
  • Communicate effectively and responsibly with the Associate General Counsel, the General Counsel, members of the Legal & Compliance Department, UTIMCO senior management, and investment and operations team members and staff
  • Adhere to UTIMCO cultural values at all times; integrity, accountability, intellectual rigor, and collaboration

 

Requirements: 

  • JD. degree from an accredited law school
  • Member of a state bar association
  • 7+ years of experience with a top-tier law firm representing investors and/or investment managers in private equity, venture capital and/or hedge fund investments, or equivalent experience with a peer institution
  • Experience with derivatives products and trading agreements a plus
  • Unquestioned honesty, integrity, and transparency
  • Cultural fit is a must in a respectful, collegial, and collaborative environment
  • Ability to analyze complex materials and work on multiple tasks concurrently, balancing competing priorities and meeting deadlines
  • Advanced proficiency in Microsoft Suite applications (Word, Excel, PowerPoint) and familiarity with artificial intelligence tools (e.g., ChatGPT, Microsoft Copilot)
  • Represent UTIMCO in the marketplace with the highest professionalism
  • Team player with strong organizational skills, attention to detail, strong communication skills, intellectual curiosity, and an ownership mindset

 

NOTE: This role requires in-office, 4 days a week, Monday thru Thursday.
