    Description

    We are seeking an experienced Associate General Counsel to provide strategic legal guidance across the organization and support business growth while managing legal risk. This role will partner with executive leadership and cross-functional teams on commercial transactions, corporate governance, regulatory compliance, employment matters, privacy, intellectual property, and other legal issues.

    Associate General Counsel Responsibilities

    • Provide practical, timely, and strategic legal advice to executive leadership and business stakeholders.
    • Draft, review, negotiate, and manage a broad range of commercial agreements, including vendor, customer, partnership, licensing, confidentiality, and services agreements.
    • Advise on corporate governance, entity management, board matters, corporate records, and other organizational legal requirements.
    • Develop, implement, and maintain legal policies, procedures, templates, and contract standards.
    • Identify, assess, and help mitigate legal, regulatory, contractual, and operational risks.
    • Support regulatory compliance programs and monitor changes in applicable laws and regulations.
    • Partner with Human Resources on employment agreements, workplace policies, employee relations matters, investigations, and employment law compliance.
    • Advise on data privacy, cybersecurity, intellectual property, marketing, product, and technology-related legal matters.
    • Manage relationships with outside counsel and oversee external legal spend, matter strategy, and work product.
    • Support litigation, disputes, claims, investigations, and responses to government or regulatory inquiries.
    • Collaborate with Finance, Sales, Procurement, Information Security, Operations, and other departments on business initiatives.
    • Communicate complex legal issues clearly to non-legal audiences and recommend practical, business-focused solutions.
    • Help build scalable legal processes and contribute to the development of the legal function.

    Required Qualifications

    • Juris Doctor degree from an accredited law school.
    • Admission to at least one U.S. state bar in good standing.
    • Significant experience practicing law in a law firm, corporate legal department, or comparable environment.
    • Experience drafting and negotiating commercial contracts and advising business teams.
    • Strong understanding of corporate, commercial, and regulatory legal principles.
    • Excellent legal research, writing, negotiation, analytical, and decision-making skills.
    • Ability to manage multiple priorities, deadlines, and legal matters with sound judgment and attention to detail.
    • Ability to work independently while collaborating effectively with cross-functional teams and senior leaders.

    Preferred Qualifications

    • Experience serving as in-house counsel or advising a growing organization.
    • Experience with corporate governance, mergers and acquisitions, financing transactions, or securities matters.
    • Knowledge of privacy, data protection, cybersecurity, intellectual property, employment, or technology law.
    • Experience managing outside counsel and legal operations, including contract lifecycle management and legal technology.
    • Experience supporting business operations across multiple jurisdictions.

    Work Environment

    This role requires the ability to manage confidential information, balance competing priorities, and operate effectively in a dynamic business environment. The Associate General Counsel will regularly collaborate with internal stakeholders and external legal professionals and may be required to support time-sensitive business matters.
