    ABOUT THE ROLE

    The Associate Counsel Infrastructure & Real Estate supports the legal team on commercial real estate matters related to the development, acquisition, leasing, and operation of large-scale infrastructure assets, including data center projects. The role partners closely with internal development, real estate, and operations teams and supports senior attorneys on complex, multi-jurisdictional transactions.

    RESPONSIBILITIES
    • Support the structuring, negotiation, and drafting of commercial real estate agreements, including acquisitions, dispositions, leases, easements, and development-related contracts tied to infrastructure and data center projects.
    • Assist with legal due diligence for real estate transactions, including review of title, surveys, zoning, land use, and environmental matters.
    • Draft and negotiate confidentiality agreements, letters of intent, and other transactional or vendor-related agreements.
    • Support real estate components of mergers, acquisitions, and joint venture transactions, ensuring alignment with broader deal structures and objectives.
    • Monitor compliance with executed real estate agreements and ensure completion of required closing and post-closing deliverables.
    • Coordinate with and oversee external counsel on real estate matters as needed to support transaction execution.
    • Provide ongoing legal guidance to internal stakeholders on day-to-day real estate issues impacting infrastructure development and operations.
