ABOUT THE ROLE

The Associate Counsel Infrastructure & Real Estate supports the legal team on commercial real estate matters related to the development, acquisition, leasing, and operation of large-scale infrastructure assets, including data center projects. The role partners closely with internal development, real estate, and operations teams and supports senior attorneys on complex, multi-jurisdictional transactions.

RESPONSIBILITIES

Support the structuring, negotiation, and drafting of commercial real estate agreements, including acquisitions, dispositions, leases, easements, and development-related contracts tied to infrastructure and data center projects.
Assist with legal due diligence for real estate transactions, including review of title, surveys, zoning, land use, and environmental matters.
Draft and negotiate confidentiality agreements, letters of intent, and other transactional or vendor-related agreements.
Support real estate components of mergers, acquisitions, and joint venture transactions, ensuring alignment with broader deal structures and objectives.
Monitor compliance with executed real estate agreements and ensure completion of required closing and post-closing deliverables.
Coordinate with and oversee external counsel on real estate matters as needed to support transaction execution.
Provide ongoing legal guidance to internal stakeholders on day-to-day real estate issues impacting infrastructure development and operations.
