ABM is seeking an Assistant General Counsel,Commercial Law to join its growing Legal Department. This is an exceptional opportunity for an attorney looking to build or advance an in-house legal career while partnering directly with business leaders across one of the nation's leading facilities services organizations.

In this role, you'll provide practical, business-oriented legal counsel on a broad range of commercial matters, including contract negotiation, commercial transactions, risk management, dispute resolution, regulatory compliance, and corporate governance. You'll work closely with leaders across Operations, Finance, Procurement, Human Resources, Technology, and other business functions to support strategic initiatives and help drive business success.

Whether you're currently practicing at a law firm, serving in-house, or working within a government agency, this role offers unique exposure to complex commercial agreements, enterprise-wide legal issues, and meaningful business partnership opportunities. Hybrid- Monday-Thursday in office.

Benefits

Pay: Minimum $140,000.00 – Maximum $160,000.00 

The pay listed is the salary range for this position. Any specific offer will vary based on the successful applicant’s education, experience, skills, abilities, geographic location, and alignment with market data. You may be eligible to participate in a Company incentive or bonus program.

Responsibilities

What You'll Do

Commercial Contracts & Transactions

Draft, review, negotiate, and manage a broad range of commercial agreements, including:

• Master Services Agreements (MSAs)
• Vendor and supplier agreements
• Service agreements
• Licensing agreements
• Software and SaaS agreements
• Purchase orders
• Construction and facilities services contracts
• Manufacturing and procurement agreements
• Confidentiality and non-disclosure agreements (NDAs)

Business Partnership & Risk Management

• Provide legal advice regarding commercial transactions, contractual obligations, business operations, and legal risk.
• Partner with internal stakeholders to identify, assess, and mitigate commercial and operational risks.
• Deliver practical legal solutions that align with business objectives while protecting company interests.
• Support contract lifecycle management and ongoing contract governance activities.

Dispute Resolution & Litigation Support

• Assist with the management of commercial disputes, claims, collections matters, bankruptcies, and litigation.
• Partner with outside counsel on litigation strategy, case management, and dispute resolution activities.
• Help identify and implement proactive measures to reduce legal exposure.

Compliance & Corporate Governance

• Advise business teams regarding regulatory requirements, corporate policies, and compliance obligations.
• Support enterprise-wide compliance, governance, and risk management initiatives.
• Assist with legal process improvements and continuous enhancement of legal operations.

Cross-Functional Collaboration

• Collaborate closely with Operations, Procurement, Finance, Human Resources, Technology, and other internal business partners.
• Provide training and guidance on commercial contracting best practices and legal risk awareness.
• Support strategic business initiatives and special legal projects as needed.

Qualifications

Required Qualifications

• Juris Doctor (JD) from an ABA-accredited law school.
• Active membership in good standing with at least one U.S. state bar.
• 4-7 years of legal experience in commercial law, corporate law, contracts, commercial transactions, or related practice areas.
• Experience drafting, reviewing, and negotiating commercial contracts and agreements.
• Strong analytical, problem-solving, and risk-assessment skills.
• Excellent written and verbal communication abilities.
• Ability to manage multiple priorities and deadlines in a dynamic environment.
• Strong organizational and project management skills.
• Demonstrated ability to collaborate effectively with business stakeholders at all levels.
• Sound legal judgment and a practical, business-focused approach to counseling clients.

Preferred Qualifications

• Prior in-house counsel experience.
• Experience supporting commercial operations in facilities management, services, construction, manufacturing, industrial, or B2B environments.

• Proficiency with Microsoft 365 including Outlook, Teams, Word, Excel, and SharePoint.
• Experience using generative AI tools in a professional setting or a willingness to learn.
