    Job Objectives:

    • Lead and own business development transactions from origination through closing, including acquisitions, joint ventures, strategic alliances, farm-ins/farm-outs, and other international upstream opportunities.
    • Develop and maintain the external relationships necessary to originate opportunities and successfully negotiate transactions.
    • Work closely with Evaluations, External Affairs, Legal, Finance, and other disciplines throughout opportunity evaluation, negotiation, diligence, and execution.

    Essential Job Responsibilities:

    Origination and Relationships

    • Identify and originate actionable international upstream opportunities consistent with Hilcorp International's strategy.
    • Develop and maintain senior-level relationships with IOCs, NOCs, independent operators, government entities, local partners, financial counterparties, advisors, and other relevant stakeholders.
    • Maintain an active external network and continuously pursue potential acquisitions, joint ventures, strategic alliances, farm-ins/farm-outs, and other commercial opportunities.
    • Maintain current knowledge of international upstream transactions, valuation metrics, market trends, fiscal and contractual structures, and competitive activity.
    • Represent Hilcorp International at industry meetings, conferences, and other external engagements.
    • Serve as the primary external point of contact for transactions and business development initiatives.

    Transaction Execution

    • Lead commercial engagement with counterparties from initial approach through transaction closing.
    • Coordinate confidentiality agreements, information access, process requirements, and communications with counterparties and advisors.
    • Review commercial, contractual, ownership, concession/license, and other relevant information to identify issues affecting valuation, transaction structure, or execution.
    • Work with the Evaluations team to integrate commercial considerations, transaction terms, and competitive intelligence into opportunity evaluation.
    • Develop transaction structures and negotiation strategies and communicate recommendations, key risks, and commercial terms to senior leadership.
    • Lead negotiation of commercial terms and coordinate with internal and external counsel on definitive transaction agreements and related documentation.
    • Coordinate multidisciplinary due diligence across technical, commercial, legal, financial, tax, regulatory, and other functions, serving as the principal interface with the counterparty.
    • Identify and negotiate solutions to diligence findings, contractual issues, closing conditions, and other transaction matters.
    • Lead commercial aspects of transaction closing in coordination with internal stakeholders and counterparties.
    • Where applicable, assess and help develop appropriate country-entry, partnership, joint-venture, and stakeholder strategies.

    International Business Responsibilities

    • Assess relevant host-country fiscal regimes, petroleum contracts, regulatory frameworks, local-content requirements, and commercial practices and incorporate them into transaction strategy.
    • Work closely with External Affairs and Legal regarding government engagement, sanctions, anti-bribery/anti-corruption requirements, and other applicable compliance considerations.
    • Identify above ground key risks and communicate to senior leadership current status and how it could evolve as part of any recommendation.
    • Monitor political and regulatory activity which may impact both safety and economic risks.
    • Build productive relationships across different cultures and business environments and represent Hilcorp International professionally with senior external stakeholders.
    • Travel internationally and work outside normal business hours as required by international time zones, transaction activity, and business needs.

    Qualifications:

    • Minimum ten (10) years of progressively responsible oil and gas business development, corporate development, commercial, or transaction experience, including significant international upstream experience
    • Demonstrated track record of originating, negotiating, and successfully executing oil and gas transactions
    • Professional fluency in Spanish (C1 Advanced or equivalent) required
    • Established network of relevant international upstream industry relationships; Latin American relationships strongly preferred

    Experience with wide variety of oil and gas transactions, negotiations, partnerships and commercial arrangements

    • Strong commercial judgment and demonstrated ability to structure transactions, solve complex problems, and negotiate practical solutions
    • Ability to channel competitive intelligence into transactions
    • Ability to build effective working relationships across multidisciplinary teams and with senior external stakeholders
    • Ability to manage multiple complex workstreams with competing priorities and transaction deadlines
    • Strong ownership mentality and demonstrated commitment to seeing transactions through to completion
    • Excellent written and verbal communication skills, with specific ability to translate complex structuring and partnership information into an organized and presentable manner
    • Strong organizational and project-management skills
    • Proficient with Microsoft PowerPoint, Excel, Word, and Outlook

    Education Requirements:

    • Bachelor's Degree from an accredited four-year university or college with a degree in business, finance, petroleum land management, or engineering.

    Preferred: MBA
