Job DetailsSeeking a talented mid-to-senior level transactional attorney to join the newly established Hotel Practice Group. The group is led by a seasoned hospitality executive and former Chief Executive Officer / General Counsel with 25+ years of hotel business and legal leadership, including an extensive track record of guiding iconic, cult-favorite boutique hotel brands, luxury properties, and premier restaurant concepts.
This unique role offers a high-performing attorney the chance to serve as the Practice Group Leader’s "right hand" in building and expanding the practice from the ground up, supporting a growing roster of boutique hotel, lifestyle hospitality, and restaurant clients.
What the Role Offers:
- Direct Leadership Training: Work side-by-side with a former hotel C-suite executive on every matter, gaining business insights behind the legal documentation alongside direct client exposure and continuous feedback.
- Ground-Floor Practice Building: Help establish practice group infrastructure, precedent forms, articles, presentations, and long-term business development initiatives.
- High-Level Exposure: Gain direct access to the owners, operators, developers, and brands shaping the lifestyle and boutique hospitality sector.
Key Responsibilities:
- Hospitality Agreements: Draft, review, and negotiate Hotel Management Agreements (HMAs), Technical Services Agreements (TSAs), and Design Development Agreements.
- Operational & Ancillary Contracts: Negotiate letters of intent (LOIs), term sheets, SNDAs, license agreements, restaurant operating agreements, and independent contractor agreements.
- Acquisitions & Dispositions: Handle buy-side and sell-side hotel transactions, including LOIs, purchase and sale agreements (PSAs), due diligence, title/survey reviews, and closings.
- Joint Ventures & Capital Structures: Draft and negotiate joint venture and partnership agreements (including GP/LP and sliver equity structures) tailored for developers and sponsors.
- Real Estate Support: Assist the firm’s broader Real Estate Group on hospitality leasing, purchase, and sale matters as needed.
- Client Counseling: Communicate directly with clients to provide clear, business-friendly legal advice and practical risk assessments.
Qualifications & Core Requirements:
- Admitted to practice law in the State of New York (and based in or near the NY area).
- Please have 5+ years of dedicated hotel transactional experience backed by strong foundational real estate or corporate transactional experience.
- Deep understanding of market standards for hospitality agreements, business terms, and deal structures (in-house counsel experience is a plus, though not required).
- Superior drafting skills with the ability to convey complex legal details
- Exceptional project management and multitasking abilities in a deadline-driven environment.
- Resourceful, reliable, detail-oriented, and adaptable, with a strong ability to give and receive constructive feedback.
- Skilled in Microsoft Office Suite, Google Workspace, Adobe Acrobat, and legal management/timekeeping platforms (e.g., Clio).
