    Description

    On behalf of VeldCo Holdings, LLC, we are excited to share an opening for the position of Tax Manager. The information below outlines the responsibilities and duties of this position as well as compensation and benefits. Willing to consider both part-time and full-time applicants.

    Overview

    The Tax Manager is a hands-on, senior role responsible for tax planning, research, and strategy across all VeldCo entities and their owners. Day to day, this position maintains partner basis and capital account schedules, prepares complex tax calculations, owns tax depreciation and fixed-asset schedules, prepares cost segregation studies, and calculates gain or loss on sales and transfers of ownership interests. This person is also the primary day-to-day contact for our external CPA firm and auditors, and is expected to deliver accurate, fully supported, review-ready workpapers within established deadlines. The role requires someone who can research a technical question, document a defensible position, manage competing priorities, and know when an issue should be escalated. Reporting directly to the CFO, the Tax Manager helps build efficiencies, suggests and/or implements tax-saving strategies, and aids in the advancement and growth of VeldCo. Duties outside of these core responsibilities will arise and be assigned as needed or desired by the employee. This position is expected to work in the office with the flexibility to work remote if the need arises.

    Tax Manager Responsibilities

    1. Own tax planning across all entities and their owners

      1. Prepare and maintain multi-year tax projections and quarterly estimates

      2. Model the tax impact of transactions, distributions, entity formations, and structure changes

      3. Monitor estimated payment requirements and safe-harbor thresholds at both the entity and owner level

      4. Identify planning opportunities and deliver recommendations to the Controller and CFO

    2. Perform technical tax research and document conclusions

      1. Research federal, state, and local tax issues as they arise

      2. Prepare written memos and supporting documentation for positions taken

      3. Monitor legislative and regulatory changes affecting construction, real estate, and pass-through entities

      4. Translate technical findings into clear, practical recommendations for leadership

    3. Help shape and execute overall tax strategy

      1. Evaluate entity structure, ownership, accounting methods, and available elections

      2. Advise on the structuring of acquisitions, dispositions, and new entity formations

      3. Monitor the multi-state filing footprint and nexus as the business grows

      4. Review partnership agreements and organizing documents, and advise on tax-specific language as needed, working alongside outside counsel

    4. Maintain partner and member basis schedules across all entities

      1. Track inside and outside basis, capital accounts, and at-risk and passive activity limitations

      2. Roll forward contributions, distributions, income and loss allocations, and debt allocations

      3. Reconcile basis schedules to issued K-1s and to the general ledger annually

      4. Flag distributions and allocations that create basis or capital account issues before year-end

    5. Calculate gain and loss on sales and transfers of ownership and partnership interests

      1. Determine basis in the interest sold and compute the resulting gain or loss

      2. Identify ordinary income components, including hot assets and depreciation recapture

      3. Evaluate Section 754 elections and calculate related basis adjustments

      4. Prepare supporting workpapers and coordinate purchase price allocations

    6. Prepare complex tax calculations and supporting schedules

      1. Book-to-tax differences and Schedule M-1 and M-3 adjustments

      2. Percentage-of-completion and completed-contract method calculations, including look-back where applicable

      3. Business interest limitation, qualified business income, and state apportionment calculations

      4. Tie all calculations back to the general ledger with clear, reviewable support

    7. Own tax depreciation and fixed-asset calculations

      1. Maintain tax depreciation schedules across all entities and asset classes

      2. Apply bonus depreciation, Section 179, and appropriate MACRS lives and placed-in-service dates

      3. Track disposals, trade-ins, and recapture exposure

      4. Reconcile tax depreciation to book depreciation and explain the differences

    8. Prepare cost segregation studies in-house

      1. Review construction documents, job cost detail, and invoices to identify and allocate qualifying components

      2. Classify assets into the appropriate recovery periods and document the methodology supporting each allocation

      3. Record the resulting reclassifications in the fixed-asset system and the general ledger

      4. Quantify and track the benefit realized, and monitor recapture exposure on later disposition

      5. Retain workpapers sufficient to support the study’s conclusions to the external CPA firm, auditors, or a taxing authority

    9. Serve as the primary day-to-day contact for the external CPA firm and auditors

      1. Prepare and deliver the annual tax package and requested supporting schedules

      2. Review draft returns, K-1s, and tax workpapers for accuracy before filing

      3. Track, resolve, and drive open items through to completion

      4. Provide supporting information for the annual financial statement and insurance audits

    10. Maintain the tax calendar for all entities, including returns, extensions, estimates, and elections

      1. Ensure filings and payments are made accurately and on time

    11. Respond to notices and inquiries from federal, state, and local taxing authorities

    12. Coordinate sales and use tax, property tax, and other indirect tax filings

    13. Oversee payroll tax compliance across all entities

      1. Review quarterly and annual payroll tax filings for accuracy before they are submitted

      2. Set up payroll tax accounts with state and local agencies as required when work begins in a new jurisdiction

      3. Monitor agency notices and rate changes, and keep account registrations current across all states

    14. Adhere to proper tax and accounting methods, policies, and principles

    15. Be a resource to the accounting team for tax questions and issues as they arise

    16. Continue to help develop tax processes, procedures, documentation, and internal controls

    17. Build efficiencies and provide recommendations

    18. Miscellaneous tax and accounting projects as requested by the Controller and CFO

    Qualifications

    1. Bachelor's degree in Accounting, Finance, or a related field; Master's in Taxation a plus

    2. 5+ years of progressive tax experience; public accounting experience preferred

    3. CPA or equivalent experience

    4. Strong working knowledge of partnership taxation, including basis, capital accounts, allocations, and distributions

    5. Experience with fixed assets and tax depreciation; experience preparing cost segregation studies strongly preferred

    6. Ability to research technical issues independently and document defensible conclusions

    7. Familiarity with construction and real-estate tax matters, including long-term contract methods and energy credits, a plus

    8. Detail-oriented with a strong review mindset and a high standard for accuracy

    9. Clear communicator who collaborates well across a busy team and with outside advisors

    10. Absolute discretion and confidentiality — this role has visibility into the owner’s complete personal and business financial picture.

    11. Comfort with high volume and complexity across multiple entities and competing deadlines

    12. Experience with tax preparation and ERP accounting software; multi-entity experience a plus
