This role is ideal for a candidate who combines strong law‑firm training with practical in‑house experience and enjoys being a hands‑on partner to the business.The Senior Counsel will work closely with the Chief Legal Officer and cross‑functional leaders to support commercial transactions, project development, operations, corporate matters, compliance, and strategic initiatives. The ideal candidate is comfortable balancing legal risk with business objectives and can operate effectively in a dynamic, evolving environment.Key ResponsibilitiesServe as a trusted legal advisor to business leaders across development, operations, finance, and commercial teamsDraft, review, and negotiate a wide range of commercial agreements, including:Feedstock supply agreementsRNG and environmental attribute offtake agreementsEPC and construction‑related agreementsOperations and maintenance agreementsNDAs, vendor agreements, consulting agreements, and other commercial contractsSupport acquisitions, joint ventures, strategic investments, and integration activities, including due diligence and transaction supportAssist with legal matters throughout the RNG project lifecycle, from development through operationsAdvise on regulatory and compliance matters related to renewable energy, environmental regulations, and low‑carbon fuel programsHelp manage permitting, environmental compliance, and interactions with outside regulatory counselSupport corporate governance, entity management, and internal policy developmentAssist in managing litigation, disputes, and claims with outside counselPartner cross‑functionally to identify and mitigate legal and business risksHelp build scalable legal processes and support a culture of compliance and ethical business practicesManage multiple priorities and projects in a fast‑paced, high‑growth environmentQualificationsJuris Doctor (JD) from an accredited law schoolActive license to practice law in at least one U.S. jurisdictionApproximately 7–15 years of legal experienceCombination of large law firm and in‑house experience strongly preferredStrong drafting and negotiation skills across complex commercial agreementsExperience supporting energy, infrastructure, industrial, or renewable energy businesses preferredAbility to work independently while collaborating effectively across teamsExcellent communication and stakeholder management skillsExperienceFamiliarity with renewable natural gas, biogas, landfill gas, or broader energy marketsBackground in renewable fuel programs, environmental commodities, or carbon markets (RFS, RINs, LCFS, 45Z)Experience supporting M&A, project development, or project finance transactionsComfortable operating in a fast‑paced growing environment where versatility and initiative are valuedHybrid office environment based in Houston, TXCollaborative, fast‑paced, growth‑oriented cultureOccasional travel to project sites, partner locations, or company offices may be required#J-18808-Ljbffr
