    Senior Corporate Paralegal

    Location: New York, NY (Hybrid)
    Compensation: $120,000–$160,000+ (flexible for right fit)

    A sophisticated and growing business law firm in New York City is seeking a seasoned Corporate Paralegal to support its expanding corporate and transactional practice. This role requires a highly experienced professional who can independently manage corporate filings and serve as a key member of transactional deal teams.

    The firm is looking for someone confident handling Delaware, SEC, and UCC filings with minimal supervision.

    Key Responsibilities

    • Prepare and file corporate formation and qualification documents (with strong emphasis on Delaware entities)

    • Handle SEC filings (including Form D, Section 16, and related documentation as applicable)

    • Conduct UCC searches and prepare/file financing statements

    • Maintain corporate minute books, capitalization tables, and governance records

    • Support M&A, venture capital, and private equity transactions

    • Manage due diligence processes and closing logistics

    • Coordinate multi-jurisdictional filings and regulatory submissions

    • Interface directly with clients, state agencies, and third-party service providers

    Qualifications

    • 5+ years of corporate paralegal experience (law firm experience required)

    • Demonstrated experience with:

      • Delaware corporate filings

      • SEC filings

      • UCC searches and filings

    • Strong transactional experience supporting M&A and financing matters

    • Ability to manage multiple deadlines in a fast-paced environment

    • Exceptional attention to detail and organizational skills
