Job DetailsWe are seeking an experienced Public Company Securities Attorney to support the securities, SEC reporting, disclosure, and corporate governance needs of a publicly traded financial technology company.
This attorney will work closely with senior legal leadership as well as Finance, Accounting, Investor Relations, Tax, People, and executive stakeholders. The position is particularly well suited for a securities or capital markets attorney who has spent several years advising public companies and wants greater ownership over one sophisticated company's legal and reporting infrastructure.
Responsibilities:
- Advise on SEC reporting and disclosure obligations under the Securities Exchange Act of 1934
- Draft and review Forms 10-K, 10-Q and 8-K, proxy statements, Section 16 filings, and related public disclosures
- Support quarterly earnings, investor communications, Regulation FD matters, and disclosure committee processes
- Advise leadership on securities law, corporate governance, insider trading, and public-company compliance
- Support Board of Directors and committee governance matters
- Provide securities-law guidance on capital markets transactions, equity matters, and strategic corporate initiatives
- Coordinate with outside counsel and internal business teams on complex securities and governance matters
- Monitor regulatory developments affecting public-company reporting and securities compliance
Qualifications:
- J.D. and active membership in at least one U.S. state bar
- Approximately 5–10+ years of securities, capital markets, corporate governance, or public-company legal experience
- Significant experience representing or working for SEC-reporting public companies
- Strong knowledge of Forms 10-K, 10-Q and 8-K, proxy disclosure, Section 16, Regulation FD, and Exchange Act requirements
- Experience advising on public-company corporate governance and Board matters
- Fintech, payments, financial-services, blockchain, or digital-asset experience is beneficial but not required
