Position Responsibilities:

Serve as lead on significant strategic transactions from pre-term sheet through due diligence and

drafting/negotiations to post-closing, including coordinating any required regulatory filings with other legal teams and businesses. Serve as primary legal support for corporate development or equivalent verticals. Manage and lead multiple simultaneous complex acquisitions, investments, and other strategic transactions with tight deadlines from pre term sheet through due diligence and drafting/negotiations to post closing. Research and advise on transactional and general corporate matters and work effectively with internal clients and outside counsel. Provide holistic advice on structuring, regulatory, and other strategic considerations. Develop processes to create self-service or automated modules for certain aspects of transactions.

Position Requirements:

Juris Doctor or foreign equivalent degree and ten years of experience as an M&A corporate transactions attorney or in a related occupation. Must have three years of experience at a technology company. Must have ten years of experience in the following skills: (1) working at a national or international law firm or technology company; (2) working in M&A and investments with familiarity with securities law and filings; and (3) completing a variety of transactions such as private and public company acquisitions, mergers, stock and asset purchases, cross-border transactions, and joint ventures. License to practice law in the U.S. required. Up to 25% domestic and international travel may be required to perform role responsibilities.
