Senior Corporate & Real Estate Paralegal
Location: San Francisco Bay Area (Hybrid)
Compensation: $98,000 - $120,000 annually
LHH Recruitment Solutions is seeking a Senior Corporate & Real Estate Paralegal on behalf of a confidential Am Law firm. This position supports sophisticated corporate, finance, venture capital, and commercial real estate transactions. The ideal candidate will have 7+ years of relevant law firm experience, strong tenure, and a demonstrated history of supporting complex transactional matters.
Responsibilities
Support corporate, finance, and real estate transactions from due diligence through closing and post-closing.
Prepare and maintain corporate governance documents, entity formations, annual filings, qualifications, dissolutions, and compliance records.
Manage corporate records, capitalization tables, equity incentive plans, and related documentation.
Prepare and file UCC financing statements, amendments, continuations, and terminations.
Conduct and review UCC, lien, and litigation searches.
Support commercial real estate transactions, including title review, deeds, transfer documents, recordings, and due diligence.
Maintain minute books, corporate records, and transaction databases.
Coordinate with governmental agencies, filing services, title companies, and third-party vendors.
Create organizational and ownership structure charts and assist with other practice support functions as needed.
Qualifications
Minimum 7 years of corporate, finance, and/or commercial real estate paralegal experience in a law firm environment required
Strong experience with corporate governance, entity management, and transactional support.
Experience with UCC filings and corporate compliance matters.
EDGAR experience required; Carta experience is a plus.
Exceptional attention to detail, organizational skills, and ability to manage multiple priorities.
Strong written and verbal communication skills.
Bachelor's degree preferred.
Notary commission, or ability to obtain one, preferred.
