Mid-Level Tax Associate Attorney

Direct Counsel is seeking a Mid-Level Tax Associate Attorney to join a prestigious Am Law firm in Boston, Massachusetts.

This is an exceptional opportunity for an attorney with 3+ years of transactional tax experience to join a sophisticated Corporate & Finance Tax practice. The team advises clients on complex domestic and cross-border transactions, including mergers and acquisitions, joint ventures, corporate restructurings, and partnership and international tax matters.

Responsibilities
  • Advise clients on the tax aspects of domestic and international mergers and acquisitions, joint ventures, and other complex corporate transactions.

  • Analyze corporate, partnership, and international tax issues arising from sophisticated transactional matters.

  • Draft, review, and negotiate tax provisions in purchase agreements, joint venture agreements, and other transactional documents.

  • Provide strategic tax advice to clients throughout the lifecycle of corporate transactions.

  • Conduct legal research and prepare memoranda regarding federal and international tax issues.

  • Collaborate with corporate, finance, and other multidisciplinary legal teams on high-value transactions.

  • Work directly with clients to develop practical, business-oriented tax solutions.

Qualifications
  • J.D. from an ABA-accredited law school.

  • Active membership in a U.S. state bar.

  • 3+ years of transactional tax experience.

  • Experience gained at a large law firm, Big Four accounting firm, or the IRS National Office is preferred.

  • Experience advising on corporate, partnership, and international tax matters.

  • Experience drafting, reviewing, and negotiating the tax aspects of mergers and acquisitions, joint ventures, and other transactional documents.

  • Excellent analytical, research, drafting, and communication skills.

  • Outstanding academic credentials and a demonstrated commitment to client service.

Compensation & Benefits
  • Salary: $260,000-$390,000, commensurate with experience and qualifications.
