Description

The Corporate Paralegal will support the Corporate practice group by preparing legal documents for clients including overseeing IPO transaction tasks, prepare deal documents, provide pre-closing, closing and post-closing assistance, and conduct legal research.

Description

  • Assist with drafting, reviewing, and filing legal documents related to corporate transactions.
  • Conduct legal research and summarize findings for attorneys.
  • Oversee IPO transaction tasks, including draft checklists, attend due diligence meetings, proofread legal documents and coordinate site visits
  • Prepare deal documents, including disclosures, exhibits, SEC filings, questionnaires, financing statements, cusip number applications, purchase agreements and merger agreements
  • Support corporate governance activities, including maintaining corporate records and preparing board materials.
  • Coordinate and manage document submissions to regulatory bodies as needed.
  • Collaborate with legal and business teams to ensure compliance with legal and regulatory requirements.
  • Maintain and organize files, ensuring accurate and accessible record-keeping.
  • Assist with due diligence for corporate transactions and other legal projects.
  • Provide general administrative support to the legal department.

Profile

A successful Corporate Paralegal should have:

  • Bachelor's degree.
  • 2+ years of experience in corporate law, ideally in a Big Law environment
  • Strong knowledge of legal terminology and corporate governance practices.
  • Strong research skills; utilizing legal research software Westlaw, LexisNexis, PACER, SEC/EDGAR, CapMx, ShareWorks, Carta, etc.
  • Experience in IPO and public company matters strongly preferred
  • Excellent organizational and time management skills.
  • Attention to detail and ability to manage multiple tasks simultaneously.
  • Strong communication and interpersonal skills to collaborate with various teams.
