Corporate Paralegal (InHouse)
National Law Firm | $110,000-$130,000 + Bonus
A leading national law firm is seeking an experienced Corporate Paralegal to join its inhouse legal team. This is a highlevel role supporting sophisticated corporate matters in a fastpaced, professional environment. While inhouse, the position includes billable hour expectations, offering strong compensation and exposure to complex work.
Responsibilities
- Support attorneys on a wide range of corporate transactions and ongoing entity management
- Assist with M&A transactions, including due diligence, closing coordination, and postclosing filings
- Prepare, review, and maintain corporate governance documents (formation, resolutions, consents, bylaws)
- Manage entity maintenance, including annual filings and compliance across multiple jurisdictions
- Coordinate UCC filings, SEC filings (as applicable), and other regulatory submissions
- Maintain corporate records, minute books, and internal databases
- Liaise with internal stakeholders, outside counsel, and thirdparty vendors
- Track deadlines and support matter management with billable hour accountability
Qualifications
- 4+ years of corporate paralegal experience, preferably in a large law firm or inhouse setting
- Strong experience supporting M&A and corporate governance matters
- Familiarity with billable time tracking in a law firm or hybrid environment
- Excellent organizational skills and attention to detail
- Ability to manage multiple priorities and work independently
- Proficiency with Microsoft Office; experience with entity management software a plus
Compensation & Benefits
- Salary range: $110,000-$130,000, commensurate with experience
