Description Are you a corporate or compliance attorney with a strong blend of law firm and in-house experience? Amazon is looking for a Corporate Counsel to join our Global Subsidiaries Legal team and lead our work across the Americas region. In this role, you'll bring expertise in corporate law, compliance issues, risk identification, and entity governance to drive the formation and maintenance of Amazon's subsidiaries supporting business growth across the Americas. You'll take a strategic view of how to best address business needs, assess risks, and spot legal issues through new entity formations and complex corporate restructurings. You'll also collaborate with stakeholders across the company, work effectively with outside counsel in foreign jurisdictions, and leverage and build AI tools to drive innovation across the team. Key job responsibilities - Serve as the regional lead for the Americas - Drive new entity formations and restructurings for business lines across the company - Provide risk assessments and legal issue spotting for corporate law matters across multiple jurisdictions - Research and advise on corporate law issues - Collaborate with stakeholders across the company - Work effectively with outside counsel across numerous jurisdictions - Use and build AI tools - including prompt engineering, automation of document review & creation processes, and legal research - for application in day-to-day legal work A day in the life Your primary focus will be serving as the go-to corporate law expert for the Americas region within the Global Subsidiaries Legal team for stakeholders across the company - driving entity maintenance, formations, and restructurings. You'll research and advise on corporate law questions spanning multiple jurisdictions with a strategic view. You'll spot legal issues, assess risk, and advise business clients on the best path forward. You'll partner with stakeholders across the organization, work closely with outside counsel in foreign jurisdictions, and apply AI tools to streamline and innovate how the team approaches its work. About the team The Global Subsidiaries Legal team is responsible for forming and maintaining Amazon's subsidiaries worldwide. As the Americas regional lead, you'll be part of a collaborative team that manages corporate governance, compliance, and restructuring activities across a complex, multi-jurisdictional landscape. This is a high-impact individual contributor role where your corporate law or compliance expertise, project management skills, and partnership with peers and stakeholders will directly shape how Amazon structures and governs its entities. Basic Qualifications - Juris Doctor and membership in one state bar or equivalent - 5+ years of post bar admission legal experience - Experience with AI/ML technologies - 5+ years of Corporate Law or legal compliance experience Preferred Qualifications - Experience managing multiple internal stakeholders and advising cross-functional teams - Experience in Global subsidiary governance/legal compliance - Experience leading cross-functional projects and managing large, complicated programs - Experience influencing multiple stakeholders and leading cross functional teams across geographies and business units - Experience working on corporate activities, including formations, M&A transactions, venture entities, and investment deals Amazon is an equal opportunity employer and does not discriminate on the basis of protected veteran status, disability, or other legally protected status. Your Amazon package will include sign-on payments and restricted stock units (RSUs). Final compensation will be determined based on factors including experience, qualifications, and location.
