Position Summary:
We are seeking a skilled and business-savvy Corporate Counsel to join our General Counsel Team, supporting the General Counsel and Assistant General Counsel. The ideal candidate will have 5-8 years of legal experience, with a strong emphasis on business law, contract drafting and review, and legal research. This role will support the firm's legal operations, ensure corporate compliance, and facilitate business transactions while serving as a strategic legal advisor across departments.
Key Responsibilities:
• Draft, review, and negotiate a wide range of commercial contracts and legal documents. • Provide legal analysis and guidance on business law matters, regulatory issues, and risk mitigation. • Conduct legal research and prepare memoranda on complex legal topics affecting the firm's operations.
Corporate Compliance:
• Develop and maintain corporate governance policies and compliance programs. • Monitor changes in laws and regulations and advise leadership on necessary updates. • Prepare, update and maintain corporate records, including board minutes, resolutions, and entity filings.
Transactional Work:
• Support legal aspects of mergers, acquisitions, joint ventures, and other strategic transactions. • Conduct and oversee due diligence processes and prepare related reports. • Coordinate transaction closings and ensure proper documentation and filings.
Communication and Coordination:
• Serve as a legal liaison between the General Counsel Team and internal departments, external counsel, and regulatory bodies. • Provide legal support to finance, HR, and operations teams on compliance, contracts, and internal controls. • Assist in the development of internal workflows and process improvements related to legal operations.
Qualifications:
Education: Juris Doctor (JD) from an accredited law school.
Active license to practice law in Texas.
Experience: Minimum of 5-8 years of legal experience, preferably in a corporate legal department or law firm setting.
Strong background in business law, contract law, and corporate transactions.
