About the Practice
The corporate team works closely with clients on a wide variety of business matters, providing both transactional counsel and practical guidance throughout the life cycle of a company. The practice has significant experience representing growth companies and investors in financing, governance, and other strategic matters.
The Opportunity
The firm is seeking an experienced corporate associate to join its venture capital and emerging companies practice. This attorney will work on sophisticated transactional matters while also serving as a day-to-day advisor to clients ranging from early-stage companies to established businesses and investment groups.
Key Responsibilities
Represent companies and investors in venture financings and related corporate transactions
Draft, review, and negotiate transaction documents and ancillary agreements
Advise clients on corporate governance and general company matters
Counsel management teams and boards regarding corporate actions and approvals
Assist with equity compensation and related company matters
Work closely with junior attorneys and contribute to their professional development
Manage multiple matters and deadlines in a fast-paced practice
Qualifications
J.D. or equivalent degree from an accredited law school
Admission, or eligibility for admission, in a relevant U.S. jurisdiction
At least four years of relevant corporate transactional experience
Experience representing venture-backed companies, investors, or other participants in private-company transactions
Strong drafting, negotiation, analytical, and communication skills
Familiarity with capitalization structures and financial models
Ability to work effectively with attorneys at different levels of seniority
Excellent organization, judgment, and attention to detail
Comfortable incorporating emerging legal technology and AI-enabled tools into daily practice
Strong client-service orientation and ability to work collaboratively
