Job Details

We are seeking a mid-level Corporate Associate to join a collaborative transactional practice focused on advising innovative businesses through critical growth stages and strategic business transactions.

In this role, we work closely with founders, investors, executive teams, and emerging enterprises on a broad range of corporate matters. The ideal candidate brings strong transactional experience, enjoys running deals, and is comfortable taking ownership of client matters while helping mentor junior team members.

Responsibilities

Manage and execute complex corporate transactions from initial planning through closing
Advise clients on financing transactions, corporate governance matters, and general business operations
Draft, review, and negotiate transaction documents and related agreements
Coordinate transaction timelines and oversee due diligence processes
Serve as a primary point of contact for clients, opposing counsel, and deal participants
Support clients through growth, investment, and strategic business initiatives
Supervise, train, and mentor junior attorneys and legal support professionals
Collaborate with attorneys across multiple practice areas to provide comprehensive client service
Assist with transaction strategy, risk assessment, and issue resolution throughout deal execution

Qualifications

3+ years of experience handling corporate and transactional matters in a law firm setting
Experience representing companies, investors, lenders, or other business entities in transactional matters
Strong background drafting and negotiating transaction-related documents
Experience managing multiple matters simultaneously and driving transactions to completion
Demonstrated ability to work directly with clients and manage day-to-day deal responsibilities
Experience mentoring, supervising, or training junior attorneys is preferred
Excellent analytical, communication, and organizational skills
Strong attention to detail and commitment to high-quality client service

Requirements

Juris Doctor (J.D.) from an accredited law school
Active bar admission in at least one U.S. jurisdiction
Ability to independently manage sophisticated transactional matters
Strong project management and organizational capabilities
Excellent written and verbal communication skills
Ability to thrive in a fast-paced, team-oriented environment
Strong business judgment and problem-solving skills
