    What You Will Do

    • Lead complex capital markets transactions, including IPOs, follow-on offerings, high-yield and investment-grade debt, and convertible notes.
    • Manage the day-to-day deal processes, including running closing checklists and drafting primary legal documents.
    • Collaborate closely with public companies, investment banks, and private equity clients to execute landmark equity and debt deals.
    • Coordinate with underwriters, opposing counsel, and internal teams to ensure seamless transaction execution.
    • Serve as the primary point of contact for clients, providing sophisticated legal advice throughout the transaction lifecycle.
    • Analyze and structure complex and non-traditional transactions such as tender offers, exchange offers, and recapitalizations.

    Ideal Candidate Background

    • 3–6 years of transactional experience at a large law firm, specifically in capital markets.
    • Proven track record of managing transactions from start to finish, demonstrating leadership in complex deals.
    • Experience with both equity and debt products, including IPOs and high-yield debt offerings.
    • Strong analytical skills and the ability to structure intricate transactions.

    Preferred

    • Experience with non-traditional transactions, such as tender offers or spin-offs.
    • Familiarity with working alongside investment banks and private equity clients.
    • Additional expertise in drafting and negotiating complex legal documents.

    Compensation and Benefits

    The base salary for this role ranges from $260K to $390K, commensurate with experience. The firm offers a competitive benefits package that supports work-life balance and professional growth.
