Partner with Kirkland & Ellis LLP, San Francisco, CA. Work within the M&A/Private Equity practice group to lead the representation and counsel of corporate and private equity clients in complex corporate transactions. Requires Juris Doctor (J.D.) or Master of Laws (LL.M.) degree, or foreign equivalent. Requires admission to the California state bar. Requires five (5) years of experience as an Associate or related job/role/occupation with a law firm focusing on M&A transactions. Experience must include: Supporting deal execution by drafting, reviewing, and negotiating key transaction documents, stock and asset purchase agreements, merger agreements, Letters of Intent (LOIs), term sheets, and disclosure schedules; Coordinating due diligence reviews and preparing diligence reports; Advising on U.S. and international M&A transactions in energy, infrastructure, and heavy industries sectors; Managing closing checklists and handling deal closings; Performing due diligence activities including reviewing target company contracts, corporate documents, litigation, IP, compliance issues, and identifying and advising on legal risks to clients; Communicating with private equity sponsors, strategic buyers, portfolio companies, and management teams to coordinate corporate transactions; Advising clients on deal structures, risk allocation, and negotiation strategies; Supporting M&A transactions by coordinating with internal teams (including tax, antitrust, finance, employment) across multiple jurisdictions.
