Job Details
Responsibilities
Build and maintain strong client relationships while supporting business development initiatives
Draft, review, and negotiate a wide variety of commercial contracts and business agreements
Advise clients on business formation, entity structuring, and corporate governance matters
Conduct legal research and prepare memoranda, opinions, correspondence, and other legal documents
Support mergers, acquisitions, business sales, and other strategic transactions
Prepare corporate resolutions, consents, organizational documents, and related materials
Conduct due diligence and assist with transaction closings and post-closing activities
Provide practical, business-oriented legal advice on corporate, contractual, and operational matters
Communicate directly with clients, opposing counsel, accountants, and other advisors
Develop a deep understanding of client businesses and industry challenges
Manage multiple matters simultaneously while collaborating effectively with attorneys and support staff
Qualifications
Juris Doctor (J.D.) from an accredited law school
Active admission and good standing with the Ohio Bar
Minimum of 4 years of experience in corporate, transactional, business, or commercial law
Strong contract drafting, review, and negotiation skills
Experience with corporate governance, business formations, and commercial transactions
Excellent legal research, analytical, writing, and communication abilities
Strong organizational skills and attention to detail
Ability to manage competing priorities and meet deadlines
Self-starter who can work independently while thriving in a collaborative team environment
Proficiency with legal research platforms and legal technology tools
Entrepreneurial mindset with a commitment to outstanding client service and long-term relationship building
