    PURPOSE

    The Vice President, Compliance is a senior member of the legal team responsible for designing, implementing, and overseeing the Companys enterprise-wide compliance program, including regulatory compliance and ethics. Reporting to the Chief Legal Officer, this role provides regular engagement with the Board of Directors, its committees, and the executive leadership team on compliance matters and risk exposure.

    The position requires an experienced compliance leader who can operate as a strategic business partner, partnering with the sales and operations teams, to build a compliance culture across a geographically distributed organization. Ideal candidates will demonstrate a strong track record in building compliance programs, conducting risk assessments, managing regulatory relationships, and driving a culture of integrity, combined with a collaborative approach that supports the Companys mission and business objectives.

    ESSENTIAL DUTIES AND RESPONSIBILITIES

    Compliance Program Management

    • Design, implement, and continuously improve the Companys enterprise-wide compliance program, including written policies, procedures, training, monitoring, and reporting mechanisms.
    • Conduct and oversee periodic compliance risk assessments across all business units and functional areas, identifying emerging risks and recommending mitigation strategies.
    • Develop, maintain, and administer the Companys Code of Conduct and supporting compliance policies, including anti-corruption, antitrust, conflicts of interest, gifts and entertainment, data retention, government contracting, sourcing and trade compliance, denied party screening and data privacy.

    Regulatory Compliance and Government Affairs

    • Monitor and advise on federal, state, and local regulatory developments affecting the Companys operations, and industry-specific regulations applicable to lumber and building materials distribution and manufacturing.
    • Serve as the primary point of contact for regulatory agencies and manage the Companys response to government inquiries, audits, examinations, and enforcement actions.
    • Develop and maintain the Companys compliance training program, delivering role-specific training across locations.
    • Prepare and present regular compliance reports to the Chief Legal Officer, executive leadership, and the Board of Directors (or applicable Board committee), including metrics on program effectiveness, open investigations, and emerging risk areas.

    Third-Party and Supply Chain Compliance

    • Oversee third-party due diligence and compliance vetting processes for suppliers, vendors, agents, and business partners.
    • Develop and manage the Companys anti-corruption compliance program, including FCPA and state anti-bribery requirements applicable to government contracting and procurement.
    • Support the development of compliance standards for the Companys supply chain, including responsible sourcing, trade compliance, and sanctions screening.

    Cross-Functional Advisory and Program Governance

    • Partner with Operations, Human Resources, Environmental Health & Safety, IT/Technology, Finance, Internal Audit, and other business units to embed compliance requirements into day-to-day operations.
    • Support compliance-related due diligence in connection with mergers, acquisitions, and integration of acquired businesses into the Companys compliance framework.
    • Develop and track compliance program KPIs, leveraging data analytics to measure program maturity and effectiveness.
    • Manage relationships with outside compliance counsel and third-party compliance service providers, including budget oversight.

    SUPERVISORY RESPONSIBILITIES

    • Provides guidance and direction on priorities and standards.

    MINIMUM REQUIREMENTS

    Education

    A Juris Doctor (J.D.) or relevant advanced degree (MBA, Masters in Compliance, or similar) from an accredited institution. J.D. strongly preferred.

    Licensing

    Active membership in good standing with a state bar association (if J.D.). Certified Compliance & Ethics Professional (CCEP) or similar compliance certification preferred.

    Experience

    A minimum of 15 years of progressive compliance, regulatory, or related legal experience, with at least 5 years in a senior compliance leadership role, preferably in a large, multi-state or publicly traded company. Experience in manufacturing, distribution, or building products industries is a plus.

    Communication Skills

    Excellent written and oral communication skills, with the ability to translate complex legal concepts into practical business guidance.

    Soft Skills

    Strong analytical and problem-solving skills, sound judgment, high ethical standards, and the ability to work independently and collaboratively in a fast-paced environment.

    Leadership

    Demonstrated ability to build and lead high-performing compliance teams, influence senior leadership, and drive accountability across a decentralized, multi-location organization.

    DOJ Framework

    Experience with DOJ Evaluation of Corporate Compliance Programs framework and demonstrated ability to design programs aligned with its expectations.

    Technology

    Familiarity with compliance technology platforms, case management systems, and data analytics tools used in compliance monitoring and reporting.
