Eden Rose USA is partnering with a leading international law firm to identify an experienced M&A / Private Equity Associate to join its highly regarded Corporate practice in New York.

The Opportunity
The successful candidate will play a key role in advising private equity sponsors, portfolio companies and corporate clients across a broad range of complex transactions.
Responsibilities will include:
- Advising on public and private mergers and acquisitions, leveraged buyouts, divestitures and strategic investments.
- Representing private equity sponsors, investment funds and portfolio companies on sophisticated domestic and cross-border transactions.
- Drafting, reviewing and negotiating complex transaction documentation, including merger agreements, stock and asset purchase agreements, disclosure schedules and ancillary agreements.
- Managing due diligence processes, identifying legal and commercial risks and advising clients on potential transaction issues.
- Advising on transaction structuring, corporate governance and risk allocation.
- Coordinating with specialist teams across finance, tax, antitrust, regulatory and other practice areas.
- Managing transaction processes from initial negotiations through signing and closing.
- Working directly with partners, clients and opposing counsel on complex transactional matters.
- Supporting and mentoring junior associates while taking increasing ownership of transactions.
Candidate Requirements
- 4+ years of experience in M&A, Private Equity or Corporate Transactions.
- Strong transactional experience gained at an Am Law 100 firm or another highly regarded corporate practice.
- Demonstrable experience representing private equity sponsors, portfolio companies or corporate clients on complex M&A transactions.
- Experience drafting and negotiating purchase agreements, merger agreements and other transaction documentation.
- Strong understanding of private equity deal structures, leveraged buyouts and corporate acquisitions.
- Experience managing due diligence and coordinating multidisciplinary transaction teams.
- Excellent drafting, negotiation, analytical and communication skills.
- Strong academic credentials and a JD from an accredited law school.
- Admission to the New York Bar, or eligibility for admission.
- A commercially minded, proactive approach and the ability to thrive in a fast-paced transactional environment.
