(“PRDG”) is a full‑service law firm which strives to ensure that every client feels heard, respected, and valued as we work to secure them a favorable outcome. We are currently seeking to add an Attorney in our Transaction Section in order to meet the needs of our growing client base in the areas of Business Law; Real Estate Law; and, Oil, Gas and Energy Law in our Corpus Christi, TX office. This position is on site.Compensation is flexible based on the experience level of the attorney.Role DescriptionThe ideal candidate will be a lateral attorney (two (2) years of experience minimum) able to handle transactional matters for new and existing clients in the areas of Business Law; Real Estate Law; and, Oil, Gas and Energy Law. The role involves the structuring, negotiating, and drafting of legal agreements, resolving disputes, as well as advising our clients as to all laws and regulations pertaining to their business and assets, whether it be in the areas of Business Law; Real Estate Law; and/or, Oil, Gas and Energy Law. These transactional matters will include the drafting, reviewing, and negotiating legal agreements as well as advising our clients regarding the structuring, formation, and maintenance of the business entities as well as assisting our clients in complying with the laws, rules and regulations pertaining to their businesses and transactions. To be successful, the candidate should possess skills and attributes necessary to work within a team, think independently, and have personal skills to interface with clients and opposing counsel. Having a book of business would be a plus but not required.ResponsibilitiesServe as lead attorney in handling all aspects of transactional matters dealing with Business Law; Real Estate Law; and, Oil, Gas and Energy Law, as well as supervision of lawyers and paralegals within the Transaction Section of PRDG.Draft, review, and negotiate agreements and documents pertaining to our transactional clients.Due diligence in acquisitions, mergers, title, zoning, and/or environmental issues.Negotiate on behalf of clients.Provide strategic legal guidance and solutions to clients.Manage transactions from initiation through closing.Develop and review agreements with stakeholders, investors, sellers, purchasers, and joint ventures.Ensure compliance with relevant regulations and contracts affecting real estate development, construction, entity formation, and entity governance.Provide legal advice on risk management strategies, contract enforcement, and dispute resolution.Conduct legal research and stay informed of industry changes and evolving laws that impact the real estate and business sector.Develop and maintain strong relationships with existing and new clients.Minimum QualificationsAdmission to the Texas State Bar.2+ years' experience in real estate and/or business law.Though having a board certification is not required, having or being on track to obtain board certification in Commercial Real Estate Law; Residential Real Estate; Farm and Ranch Real Estate Law; Construction Law; Property Owners Association Law; Oil, Gas and Mineral Law; and/or, Consumer and Commercial Law is preferred.Must have the ability to manage multiple projects in a fast‑paced, deadline‑driven environment.Strong oral and written communication skills.Proficient in legal research and writing.Benefits401(k) plan and employer contribution.Health insurance covered at 100% for employee and family, optional dental and vision insurance, life insurance.#J-18808-Ljbffr
