Direct Counsel represents an AmLaw 100 firm seeking a Technology Transactions Attorney (7+ years) to join its nationally recognized Technology Transactions Group (TTG).

The practice focuses on advising technology companies on complex intellectual property and commercial transactions, with an emphasis on structuring, drafting, and negotiating strategic agreements across the technology sector.

The role offers the opportunity to work on sophisticated, cross-disciplinary matters involving both standalone commercial transactions and the IP components of broader corporate deals.

Responsibilities include:

• Structuring and negotiating technology and IP-driven commercial agreements
• Drafting license, services, development, distribution, and strategic partnership agreements
• Advising on IP aspects of mergers and acquisitions, public offerings, financings, and other complex transactions
• Supporting clients across all stages of growth, from startups to established global technology companies

This is an opportunity for an experienced attorney who is entrepreneurial, collaborative, and interested in helping grow a leading national technology transactions practice. The role also involves mentoring junior attorneys and working closely with a national team.

Qualifications:

• 7+ years of experience in intellectual property and/or technology transactions
• Experience drafting and negotiating complex commercial and IP agreements
• Strong interest in technology companies and innovation-driven industries
• Technical or scientific background a plus, but not required
• Excellent academic credentials
• Strong drafting, analytical, and communication skills
• Ability to work collaboratively in a fast-paced, team-oriented environment

Compensation & Benefits
The expected salary range is $420,000–$435,000, depending on experience and year classification. Discretionary merit-based bonuses may also be awarded.
