    Description

    Role Summary
    We are looking for a techno-functional resource with direct, hands-on experience administering or implementing an equity/stock plan management platform (e.g., Shareworks by Brokerage, Certent Equity Management, E*TRADE Equity Edge Online, Global Shares, Carta, or Computershare). This person bridges plan-administration domain knowledge with enough technical fluency to validate system design, data models, and integrations supporting a project team building equity-plan platform capability. Engagement type: consulting / project-based (duration and rate to be confirmed with hiring manager).

    Functional Expertise (Plan Administration Domain)
    • Award types & lifecycle: ISOs, NSOs, RSUs, RSAs, PSUs, SARs, and ESPP (qualified 423 / non-qualified) grant, vest, exercise, release, cancellation and forfeiture workflows
    • Cap table management: authorized/outstanding shares, dilution modeling, fully-diluted views, pool reconciliation
    • Compliance & accounting: ASC 718 / IFRS 2 expense accounting, Section 409A valuation handling, Section 6039 / 3921 / 3922 tax reporting, SOX controls over equity data
    • Tax & withholding: multi-jurisdiction tax treatment, sell-to-cover mechanics, employee mobility / multi-state or cross-border withholding, W-2/1099 coordination
    • Corporate actions: stock splits, M&A conversions, tender offers, blackout-period administration
    • Participant experience: onboarding, vesting communications, exercise/purchase workflows, awareness of 10b5-1 plans
    • Governance: board/committee approval workflows, plan document interpretation, audit support
    Technical Expertise (Systems / Platform)
    • Direct, hands-on experience on at least one major equity plan platform (Shareworks, Certent, Equity Edge Online, Global Shares, Carta, Computershare) two or more platforms strongly preferred, for comparative fluency across systems
    • Integrations: HRIS (Workday / SAP SuccessFactors) synchronization with the equity platform, payroll system feeds for tax withholding, brokerage / transfer-agent APIs, SSO / identity
    • Data: SQL proficiency for cap table and transaction extracts, data migration and reconciliation between systems, custom report-writing for board and finance reporting
    • Implementation background: at least one full system implementation or migration configuration, data conversion, UAT, and cutover
    • API / data-model literacy: able to read and validate an integration spec or data model even if not a hands-on developer
    Preferred / Nice-to-Have
    • CEP (Certified Equity Professional) designation
    • Experience supporting a system replacement or greenfield build (not just steady-state administration)
    • Exposure to financial-services or highly regulated environments
    • Prior work translating plan-administration requirements into functional specs for an engineering team
