    ABOUT THE ROLE

    A growing advisory practice is seeking a Tax Manager to support corporate and private equity clients on complex transaction-related tax matters. This role focuses on tax due diligence, transaction structuring, tax modeling, and strategic tax advisory services for buy-side and sell-side transactions.

    The ideal candidate will bring a strong public accounting background, experience working on M&A transactions, and the ability to communicate complex tax concepts to both technical and non-technical stakeholders.

    RESPONSIBILITIES
    • Lead and manage buy-side and sell-side tax due diligence engagements from planning through final report delivery.
    • Perform tax analysis related to acquisitions, divestitures, restructurings, and other strategic transactions.
    • Advise clients on transaction structuring, tax-efficient planning strategies, and potential tax exposures.
    • Analyze corporate and partnership tax matters related to M&A transactions, including Subchapter C and Subchapter K considerations.
    • Review transaction documents, purchase agreements, and legal contracts for tax implications.
    • Prepare and present due diligence findings, recommendations, and tax considerations to clients and senior stakeholders.
    • Conduct technical tax research and develop practical solutions for complex tax issues.
    • Serve as a primary point of contact for clients while managing multiple concurrent engagements.
    • Collaborate with senior leadership on complex advisory matters and business development initiatives.
    • Mentor and develop junior professionals through training, coaching, and workpaper review.

    QUALIFICATIONS
    • Bachelor's degree in Accounting, Finance, Taxation, or related field.
    • CPA or JD required.
    • 4 5+ years of public accounting experience with exposure to transaction tax, tax due diligence, or M&A tax advisory.
    • Strong knowledge of U.S. Federal corporate and partnership taxation.
    • Experience supporting buy-side and sell-side transactions.
    • Strong technical tax research, analytical, and tax modeling skills.
    • Experience working directly with clients and managing multiple projects simultaneously.
    • Excellent written and verbal communication skills with the ability to explain complex tax matters to non-tax audiences.
    • Private equity transaction experience is highly preferred.
    • Strong project management, leadership, and organizational skills.
