Position Summary
We are seeking a highly skilled Tax Counsel to join our distinguished Tax Practice Group. This is an excellent opportunity for an experienced attorney to play a critical role in advising clients on complex transactional tax matters in a collaborative and dynamic environment.
Responsibilities
Provide sophisticated tax advice on a wide range of transactional matters, including leveraged finance and capital markets transactions.
Collaborate with clients, investment bankers, and other legal teams to structure transactions that maximize tax efficiencies while aligning with business objectives.
Advise on taxable and tax-free mergers and acquisitions, debt and equity financings, corporate reorganizations, and other strategic transactions.
Research and analyze complex tax issues, providing practical and innovative solutions to clients.
Draft and review tax-related transaction documents, ensuring compliance with applicable laws and regulations.
Represent clients in interactions with tax authorities, including requesting formal guidance from the IRS.
Qualifications
Juris Doctor (JD) from a top-tier law school with a strong academic background.
Admission to the New York Bar is required.
Substantial experience in transactional tax work, with meaningful exposure to leveraged finance and capital markets transactions.
Exceptional oral and written communication skills, with the ability to convey complex concepts clearly and effectively.
Strong analytical and problem-solving skills, with meticulous attention to detail.
Ability to manage multiple priorities and work effectively in a fast-paced environment.
Demonstrated commitment to providing exceptional client service.
