Position Summary:
Reporting to the Director, SEC Reporting & Technical Accounting, this individual will be responsible for the preparation and filing of SEC filings and will serve as a key technical accounting resource for the Company. This individual will lead the day-to-day preparation and coordination of the Company's SEC reporting activities, supporting the timely and accurate filing of periodic reports and other required disclosures. They will research, evaluate, and document accounting conclusions for complex transactions, lead equity accounting, assist in the development and maintenance of accounting policies, and support financial reporting, external audit, SOX compliance and other compliance activities.
The ideal candidate is a collaborative, hands-on accounting professional with strong financial reporting and technical expertise, exceptional analytical skills and attention to detail. The successful candidate will thrive in a fast-paced public company environment and experience within the biotechnology or life science industry would be a strong asset.
Essential Duties and Responsibilities:
SEC & External Reporting
- Lead the preparation and coordination of SEC filings, including quarterly and annual financial statements, footnote disclosures, MD&A and supporting schedules in compliance with U.S. GAAP and SEC reporting requirements, including:
- Quarterly Reports (Form 10-Q)
- Annual Reports (Form 10-K)
- Proxy Statements (DEF 14A)
- Current Reports (8-K)
- Section 16 filings and other SEC reporting requirements, as applicable
- Maintain SEC reporting calendars, disclosure checklists, and filing timelines to ensure timely submissions.
- Coordinate cross-functional input from Finance, Legal, Human Resources, Executive Leadership, and external reporting advisors.
- Coordinate with external tax advisors in support of quarterly and annual tax provision calculations, income tax disclosures and related SEC reporting requirements.
- Assist in preparation of quarterly financial reporting and technical accounting materials presented to the Audit Committee
Technical Accounting
- Evaluate contracts, including key R&D contracts, business arrangements, licensing agreements, and significant transactions to determine the appropriate accounting treatment and prepare the corresponding accounting analysis / memoranda.
- Lead preparation of quarterly technical accounting analyses and accounting memoranda for complex recurring technical accounting items such as fair value measurements (including derivative instruments and contingencies), financings, investments, stock based compensation modifications, and leases.
- Lead the preparation of accounting policy documentation and support implementation of new accounting policies arising from evolving business activities and accounting standards.
Stock Compensation & Other Close Activities
- Lead the accounting and financial reporting for stock-based compensation arrangements, including stock options, ESPP, RSUs, PSUs,, warrants, and other equity-related transactions, and corresponding disclosures.
- Support equity administration and work closely with Human Resources and third-party equity administrators.
- Support the monthly, quarterly, and annual close process through preparation of journal entries and account reconciliations related to stock-based compensation, employee bonus accruals, income taxes, general and administrative expenses and other corporate accounting areas, as needed.
- Collaborate with the GL accounting team to prepare the monthly close deck, including preparation of the monthly financial statements, analyzing period-over-period fluctuations, supporting management reporting, and investigating financial reporting trends.
Audit Support & SOX
- Lead coordination efforts with external auditors during quarterly reviews, annual audits, and SOX testing, including PBC requests and financial disclosure support.
- Support SOX compliance and internal control activities, including process documentation, testing coordination, remediation efforts, control design enhancements, process improvements, and collaboration with both internal and external auditors.
- Ensure compliance with U.S. GAAP, SEC regulations, SOX, Nasdaq requirements, and Company accounting policies.
Other
- Partner cross-functionally to enhance the financial reporting processes, strengthen controls, improve disclosure quality, and drive operational efficiencies.
- Perform special projects and other duties as assigned.
Required Education and Experience:
- Bachelor's degree in Accounting required.
- CPA required.
- 5–7+ years of progressive accounting experience, preferred Big Four public accounting experience.
- Public company SEC reporting experience required, including preparation of Forms 10-Q, 10-K, Proxy Statements, and related disclosures.
- Biotechnology, pharmaceutical, or life sciences industry experience strongly preferred.
- Strong knowledge of U.S. GAAP, SEC reporting requirements, and SOX compliance.
- Experience preparing technical accounting memoranda and supporting external audits.
- Experience with Workiva software (Wdesk) strongly preferred.
- Experience with equity and stock-based compensation accounting and administration for stock-based compensation required and experience with Shareworks preferred.
- Advanced Microsoft Excel skills, including complex formulas, pivot tables, and data analysis.
