The Senior Counsel will handle legal matters pertaining to structured products, securitizations (CLOs), and mortgage-backed securitizations (CMBS).

Description

Role will report directly to the Deputy General Counsel and will handle the following:

  • Participation on Transaction Review Committee; review and negotiate engagement letters
  • Primary support for CLO deal team on approved transactions (manage external counsel, etc) and on ABS, CMBS transactions, some review of diligence files
  • Review term sheets & offering documents, note purchase agreements, placement agreements on transactions (144 A deals)
  • Provide legal support to loan trading business, specifically the negotiation of referral agreements and future development of loan trading capabilities
  • Provide negotiation of confidentiality agreements relating to loan trading business
  • Track regulatory developments/litigation/new legal issues having an effect on mortgage business

Profile

  • JD from top law school with excellent academic credentials and GPA
  • Admitted to NY State Bar
  • 7+ years of experience, gained at a top law firm, in-house or combination thereof
  • Experience representing underwriters, issuers, sponsors and/ or managers in a wide range of CMBS, RMBS, CLO, consumer loans and other asset-backed financings, consisting of registered public offerings, exempt transactions and cross border offerings
  • Familiarity with broker-dealer regulation, Dodd Frank, Reg AB, CFPB, state and federal regulations impacting various fixed income and derivative products and asset classes (RMBS, CMBS, CLO, consumer loans, CDS, ABS, TRS, etc.).
  • Experience analyzing legal and regulatory issues in area of practice and provide effective counsel to clients on complex legal matters
  • Excellent written and verbal communication skills
