Job TitleSenior CounselJob DescriptionThe Senior Counsel will work with the Deputy General Counsel and other members of the legal team. Main responsibilities include advising on all registered funds related legal matters, including drafting and reviewing all offering, marketing and documentation, reviewing for SEC and FINRA compliance. Provide legal advice and aid in provisions relating to 1940 Act compliance as it pertains to transactions, fund of fund matters, advisory, etc. Negotiate a wide range of agreements with registered fund counterparties, including closed-end funds, mutual funds, real estate investment trusts and various fund managers. Manage outside counsel as necessary. Work closely with other members of the legal team on additional projects as they arise.The Successful ApplicantJD from top law school with excellent academic credentials and GPA. Admitted to NY State Bar. 4-10 years of experience within the Registered Funds/Mutual Funds group of a top law firm or in-house at a registered fund or bank. Very strong experience with the '40 Act, registered fund formation matters and mutual fund legal matters. Team player.
