Experience: 10+ years in compensation roles, including 7+ years in executive compensation at a public company (Fortune 100 or compensation consulting firm preferred).
Education: Bachelor's degree preferred.
Key Responsibilities:
Build and maintain governance, structure, and analytical foundation for executive compensation in a public-company environment.
Own the operating model for executive compensation governance, including annual calendar for Compensation Committee planning, materials, and filing milestones.
Develop presentation materials, track deliverables, and coordinate with internal stakeholders and external consultants.
Support research and preparation for shareholder engagement meetings focused on executive compensation.
Establish decision frameworks, templates, and documentation standards for consistent, defensible executive pay decisions.
Track key decisions, follow-ups, and approvals to ensure governance continuity and audit readiness.
Build and maintain Excel-based models and analyses for executive pay decisions and scenario planning.
Establish and manage equity guidelines and budget parameters aligned with company strategy and governance standards.
Partner with Legal, Finance, and external advisors for public-company disclosures and filings (e.g., proxy/CD&A, 10-K, 8-K).
Anticipate governance, disclosure, and regulatory requirements; proactively prepare materials and analyses.
Ensure processes are documented, repeatable, and scalable.
Required Skills and Qualifications:
10+ years in compensation, with 7+ years in executive compensation governance (especially equity-based) at public companies.
Strong knowledge of executive compensation governance, regulatory requirements, and reporting cycles.
Experience with Compensation Committee planning and shareholder meetings.
Executive-facing communication skills in high-growth, fast-paced environments.
Advanced Excel skills for modeling, scenario analysis, data validation, and analytics.
Ability to bring structure and rigor to complex, cross-functional work.
