    Responsibilities

    • Partner with global, regional, and business-unit leadership to provide strategic legal advice on commercial priorities, enterprise initiatives, and complex matters .
    • Lead the drafting, review, negotiation, and management of commercial agreements, including sales, supply, distribution, services, technology, confidentiality, procurement, and other strategic arrangements.
    • Advise on mergers and acquisitions, investments, integrations, restructurings, and other corporate transactions, coordinating due diligence, documentation, approvals, and post-close legal activities as needed.
    • Provide guidance on corporate governance, entity management, board and secretarial matters, intercompany arrangements, delegations of authority, and related enterprise requirements.
    • Monitor legal and regulatory developments across relevant jurisdictions and partner with Compliance, Finance, Tax, Human Resources, Cybersecurity, Privacy, Trade Compliance, Supply Chain, and other functions to translate requirements into practical business actions.
    • Manage litigation, investigations, claims, and external legal inquiries, including the selection , direction, budgeting, and performance management of outside counsel .
    • Develop and improve legal templates, playbooks, policies, training, and operating processes that increase consistency, cycle time, risk visibility, knowledge sharing, and compliance across the enterprise.
    • Build strong relationships across the global Legal team and broader organization, sharing expertise , supporting regional colleagues, and contributing to enterprise-wide legal priorities and continuous improvement initiatives.

    Requirements

    • J.D. degree and license to practice law in at least one U.S. jurisdiction.
    • Demonstrated expertise in commercial and contract law, including significant experience drafting and negotiating complex c ommercial agreements.
    • Broad legal capability across corporate, transactional, regulatory, compliance, governance, privacy, dispute, and risk-management matters, with the judgment to engage specialist counsel when appropriate .
    • E xceptional written communication, legal drafting, negotiation, and executive advisory skills.
    • Proven ability to manage competing priorities, work independently, influence across cultures and functions, and deliver pragmatic solutions in a fast-paced global organization.

    Preferences

    • Experience in an in-house legal department supporting a global industrial, manufacturing, technology, or other complex matrixed organization.
    • Experience advising senior leaders and boards on corporate governance, compliance, and enterprise risk matters globally.
    • Experience supporting mergers and acquisitions, integration, or other strategic corporate transactions across multiple jurisdictions .
    • Experience in Life Sciences businesses including understanding of FDA and related regulations for medical equipment
