    Overview

A boutique, high-performing corporate practice is seeking a Senior Corporate Attorney (6+ years) with strong experience in corporate transactional work—particularly sell-side M&A. This role offers immediate integration into a sophisticated deal practice with meaningful exposure to healthcare and defense contracting transactions.

If you’re looking for a position where you can take ownership, work closely with experienced partners, and maintain a healthy work/life balance (1600–1800 billable hours), this is an exceptional opportunity.

    Why This Role Stands Out

    • Work on complex, high-stakes transactions with direct client access.

    • Gain deep experience in healthcare (diagnostic labs, provider groups) and defense contracting, two rapidly growing and highly specialized sectors.

    • Take on real responsibility—drafting, negotiating, and driving deals forward.

    • Join a team that values professional growth without sacrificing lifestyle or well-being.

    Key Responsibilities

    • Lead and support sell-side M&A transactions, frequently opposite private equity buyers or PE-backed acquirers.

    • Advise clients across industries, with strong exposure to healthcare and defense contracting transactions.

    • Provide occasional support for hospital and healthcare regulatory matters when needed.

    • Draft, review, and negotiate key transactional documents, including purchase agreements, disclosure schedules, and ancillary agreements.

    • Conduct due diligence and deliver practical, commercially aligned guidance throughout the transaction lifecycle.

    • Collaborate closely with partners and senior attorneys on deal execution and ongoing client relationships.

    • Provide solutions-oriented legal advice that matches clients’ business objectives.

    What Makes This Role Unique

    • Handle high-profile and industry-specific transactions that build rare marketable expertise.

    • Opportunity to grow in two niche, in-demand sectors: healthcare and defense.

    • Fast-paced environment with significant client interaction and autonomy.

    • True work/life balance: 1600–1800 billable hours, far below typical BigLaw demands.

    • Long-term visibility and a real pathway to building a standout transactional practice.

    Ideal Candidate Profile

    • 6+ years of corporate transactional experience (sell-side M&A strongly preferred).

    • Background or strong interest in healthcare transactions or healthcare regulatory work.

    • Business-oriented, solution-focused mindset.

    • Excellent drafting, analytical, and negotiation skills.

    • Ability to work both independently and collaboratively.

    • NY or FL bar strongly preferred (or ability to obtain admission).

    • Bonus: Performance-based, typically 10–20%

    • Benefits: Full health benefits coverage

    • Lifestyle: Predictable hours, 1600–1800 billables, and a supportive, growth-oriented culture

    • Direct access to high-impact transactions and ongoing professional development.
