- Run deals day to day, from diligence and disclosure schedules through signing and closing
- Represent private equity sponsors and their portfolio companies in platform acquisitions, add-ons, and leveraged buyouts
- Work on acquisition financings, recapitalizations, and related capital transactions with financing colleagues
- Advise owners on succession and transition planning, including employee-ownership and founder-transition deals
- Lead legal due diligence and flag material issues clearly to clients
- Coordinate with tax, employment, IP, real estate, and regulatory specialists to keep deals on track
- Counsel clients in regulated and licensed industries on deal-specific issues
- Draft governance, equity, and structuring documents, such as operating agreements, shareholder agreements, and equity incentive plans
- Serve as a main point of contact for clients, opposing counsel, lenders, and other deal professionals
What you bring
- A J.D. from an accredited law school with a strong academic record
- 5-7 years of sophisticated M&A or private equity experience representing buyers, sellers, or sponsors
- A license in at least one U.S. jurisdiction, and North Carolina licensure within one year
- Strong drafting, negotiation, and analytical skills
- The ability to manage several deals at once, both on your own and as part of a team
- The ability to lead transactions and be the day-to-day contact on deals
Nice to have
- Large law firm training and deal experience
- Experience supervising junior associates or paralegals
- Exposure to private credit, acquisition financing, or other debt deals
- Industry experience with professional services, technology, or manufacturing clients
What's offered
- Real ownership of deals and direct client relationships
- Close work with experienced partners, and a clear path to owning client relationships
- Compensation based on experience and in line with peer business law firms
- Some work-from-home flexibility
- Health, dental, and vision insurance, a retirement plan, and paid time off and holidays
Salary commensurate with candidate experience and other job-related factors permitted by law.
