    Senior Business Paralegal – Cleveland
    An established law firm in Cleveland is seeking a Senior Business Paralegal to support its Business team. This role involves significant legal work under attorney supervision, with a strong emphasis on delivering exceptional client service.     Key Responsibilities

    • Draft and review legal documents and correspondence related to Business and Finance matters.
    • Conduct factual legal research using print and electronic resources.
    • Collaborate with outside counsel, filing agents, and clients.
    • Organize and maintain files, manage DocuSign signatures, and compile closing materials.
    • Assist with due diligence for transactions and prepare documentation for business entity formation.
    • Coordinate state filings, including Articles of Incorporation/Formation, lien searches, and other external services.
    • Maintain corporate minute books, ownership certificates, and ledgers.
    • Prepare closing binders and update electronic data rooms.
    • File documents with government agencies such as state offices, FINRA, and the SEC, and process invoices.
    • Manage time entries, prioritize tasks, and effectively communicate deadlines.

    Qualifications

    • Paralegal degree/certificate from an ABA-approved program or equivalent experience.
    • Corporate law experience preferred, with strong knowledge of Secretary of State websites (Ohio, Indiana, Kentucky).
    • Proficiency in Microsoft Office, Adobe Acrobat, and legal research tools such as WestLaw, Lexis/Nexis, and PACER.
    • Familiarity with document management systems (e.g., iManage) and electronic data rooms.
    • Strong attention to detail and ability to maintain confidentiality.
    • Experience with DocuSign, CARTA, and transactional document preparation is a plus.
    • Notary Public certification preferred.
