Our client is seeking a Senior Associate or Counsel to join its Executive Compensation Practice. The ideal candidate will have at least six years of experience advising public companies on executive compensation and employee benefits matters. This role involves significant client contact and responsibility for handling complex issues related to executive compensation disclosures, employee benefits aspects of M&A and private equity transactions, and incentive plan design. The position offers flexibility in location across multiple major markets.ResponsibilitiesAdvise public companies on executive compensation and employee benefits mattersSupport employee compensation considerations for capital markets transactionsAssist with SEC compliance and reporting obligations, including preparing proxy statements and equity plan proposals on Schedule 14A, annual reports on Form 10-K, quarterly reports on Form 10-Q, and periodic reports on Form 8-K as they relate to executive compensationDraft and review executive employment and severance arrangementsCounsel on tax-qualified and nonqualified retirement plansDesign and implement equity and non-equity incentive plansRequired QualificationsPrevious law firm experience required; Am Law 200, leading regional, or major boutique firm experience preferredMinimum of 6 years of experience in executive compensation and employee benefits mattersSignificant experience working with public companies (ideally at least 50% of work)Strong academic credentials and excellent communication skillsAbility to work independently and collaboratively as part of a teamPreferred QualificationsExperience assisting public companies with SEC compliance and reporting obligationsFamiliarity with employee compensation considerations in capital markets transactionsDemonstrated ability to manage client relationships and handle complex matters#J-18808-Ljbffr
