About the Opportunity

A nationally respected law firm is seeking a Private Credit & Direct Lending Attorney to join its premier Financial Services practice. This role offers the opportunity to represent private credit funds, direct lenders, institutional investors, and portfolio companies in sophisticated debt and equity investment transactions.

You will work across private credit, direct lending, structured finance, and M&A matters while collaborating with experienced attorneys across Corporate, Finance, and Financial Services practices. The firm provides meaningful client exposure, early responsibility, and a clear path for long‑term career growth.

Key Responsibilities

  • Represent private credit funds, direct lenders, institutional investors, and portfolio companies in financing and investment transactions.
  • Structure, negotiate, and document debt and equity investment transactions.
  • Advise clients on private credit, direct lending, and structured finance matters.
  • Lead and support buy‑side and sell‑side mergers and acquisitions.
  • Counsel clients on growth equity, control equity, recapitalizations, restructurings, and exit transactions.
  • Draft and negotiate complex financing agreements, investment documents, and commercial contracts.
  • Advise portfolio companies on acquisitions, financings, restructurings, and strategic transactions.
  • Collaborate with Corporate, Finance, Tax, and Regulatory attorneys on integrated matters.
  • Manage multiple high‑value transactions while maintaining exceptional client service.


Qualifications

  • Juris Doctor (J.D.) from an accredited U.S. law school.
  • 2–6 years of transactional legal experience.
  • Experience in corporate law, finance, M&A, private credit, lending, or financial services transactions.
  • Strong drafting, negotiation, analytical, and communication skills.
  • Ability to manage multiple sophisticated transactions in a fast‑paced practice.
  • Licensed in North Carolina or eligible for admission.

Preferred:

  • Graduate of a Top 50 U.S. law school.
  • Experience practicing at an Am Law 200 firm.
  • Experience representing private credit funds, institutional investors, lenders, or portfolio companies.
  • Background in structured finance, direct lending, debt finance, or investment transactions.
  • Strong academic credentials and demonstrated commitment to transactional practice.
