Summary

Acting under the direction and supervision of the General Counsel and Chief Legal Officers, provides general paralegal functions in support of the Office of the General Counsel ("OGC") in areas such as contracting and transactions, researching applicable law, preparing documents, and performing a variety of duties in support of the more general legal needs of Vandalia Health, Inc.

Responsibilities

Core Duties

  • Manages and maintains contract, corporate, or litigation files assigned by a supervising OGC attorney.
  • Performs legal and other research under the supervision of a supervising OGC attorney.
  • Prepares, reviews, and tracks legal documents related to acquisitions, joint ventures, physicians / physician practices, real estate transactions, business contracting, and other corporate transactions.
  • Prepares and reviews form contracts, and reviews contract terms and conditions to populate and update contracts and checklists as necessary.
  • Monitors a central contract inbox, assigning contracts to appropriate OGC attorneys and maintaining contract tracking documents and related technology.
  • Communicates with internal and external parties as appropriate regarding contracts, revisions, or transactional needs.
  • Supports the Office of the General Counsel in all matters, providing support to other department attorneys and staff as needed.
  • Performs various project management functions related to contract and corporate transactions or other needs of the department.
  • Maintains and files corporate documents as necessary for Vandalia Health, Inc. and its subsidiaries and affiliates.

Job-Specific Responsibilities

  • Interacts and communicates effectively and diplomatically with internal and external customers.
  • Maintains compliance with internal policies and external regulatory guidelines, such as HIPAA and applicable fraud and abuse laws.
  • Proficient in summarizing contracts, corporate documents, and other legal and business records.
  • Promotes and contributes positively to the teamwork of the department by assisting co-workers, contributing ideas, and participating in process improvement initiatives.
  • Attends and participates in staff meetings and discussions to plan and implement changes.

Education and Experience Requirements

Education

  • Bachelor's Degree in a related field.

Experience

  • 5 years' experience in a hospital administrative setting, private law firm, governmental agency legal department, or in-house legal department preferred.
  • 3 years' experience related to drafting, reviewing and negotiating contracts, leases, employment agreements, memoranda of understanding, non-disclosure agreements, and other forms of commercial contracting instruments preferred.

Credentials

  • Paralegal Certification preferred.

Working Conditions

  • Available during regular business hours with periodic evenings or weekends.
  • Periodic standing.
  • Light work with periodic lifting or carrying of objects of 25 lbs.
  • Some in-state travel possible.
  • Possible option of remote or hybrid work upon completion of orientation period.
