Paralegal

Responsibilities:

The Paralegal will support Related Midwest’s legal function, with a primary focus on corporate governance, entity management, corporate record maintenance, and real estate transactional matters. The ideal candidate will have a corporate paralegal background, while also demonstrating the versatility to support a broad range of legal matters, including real estate transactions. This position will be based in Chicago, IL.

• Support the legal team in all aspects of corporate governance, real estate transactions, and other legal matters and special projects
• Maintain corporate entity management platform, which includes working with various corporate service agents on state filings and annual reports to ensure legal compliance
• Prepare corporate filings, including entity formations and dissolutions, and submission of basic IRS forms, including obtaining EINs
• Prepare organizational documents, including entity formation documents, operating agreements, assignments, authorizing resolutions, officer/incumbency certificates, and other governance materials
• Assist in the preparation, review, and editing of legal documents, including transaction documents, NDAs, license agreements, and other contracts
• Support corporate and real estate transactions and coordinate closing processes, including ordering good standing certificates and lien searches, overseeing document execution, and compiling and delivering documents
• Monitor transaction timelines and closing checklists, and follow up on outstanding items to ensure timely completion
• Maintain legal department files, records, templates, databases, and transaction documentation
• Collaborate and interface with outside legal counsel, internal business teams, and other stakeholders

Qualifications:

• Minimum of 5–7 years of corporate paralegal experience in a law firm or in-house legal department focusing on corporate governance; exposure to real estate transactions is strongly preferred
• Prior experience managing expansive and complex organizational/entity structures
• Ability to digest and comprehend organizational documents
• Superior interpersonal skills:
  • Ease in working with people up and down the organization hierarchy
  • Naturally adaptive to different audiences
  • Diplomatically assertive
• Ability to manage multiple projects concurrently, prioritize competing deadlines, and work independently in a fast-paced environment
• Familiarity with Corporate Services Company (CSC) strongly preferred
• Strong sense of integrity and ethics
• Excellent organizational skills and attention to detail
• Excellent written and verbal communication skills
• Undergraduate degree required

Compensation

The anticipated base salary range for this position is listed below. In addition to a competitive base salary, you will be eligible to receive discretionary bonus incentives and a comprehensive benefits package.

 

Anticipated base salary range: $100,000 - $130,000+

Actual base salary within the anticipated range will be determined by several components including, but not limited to, the individual's experience, skills, qualifications, and market factors.
