What You'll Do

We are seeking a detail-oriented Mergers & Acquisitions (M&A) Clearance Assistant to support attorneys and legal professionals in the preparation and filing of regulatory notifications for domestic and international transactions. This role provides a unique opportunity to gain exposure to high-profile mergers, acquisitions, and antitrust matters while working closely with attorneys, clients, and government agencies.

The ideal candidate has strong analytical and organizational skills, exceptional attention to detail, and an interest in corporate transactions, antitrust law, or regulatory compliance.

Key Responsibilities:

Transaction & Regulatory Filing Support

  • Assist with the preparation and filing of Hart-Scott-Rodino (HSR) Premerger Notification and Report Forms.
  • Research and validate company information, industry classifications, and regulatory data.
  • Prepare, organize, and review filing exhibits and supporting documentation for accuracy and completeness.
  • Draft client information requests and assist with collecting required transaction data.
  • Maintain filing trackers, templates, and status reports.

Team & Client Coordination

  • Coordinate with attorneys, legal staff, and transaction teams throughout the filing process.
  • Compile and distribute filing packages in electronic formats.
  • Assist with drafting correspondence related to regulatory filings.
  • Communicate professionally with clients, opposing counsel, and internal stakeholders.

International Filing Support

  • Assist with gathering sales and business information for multinational competition filings.
  • Maintain country-by-country sales tracking spreadsheets and supporting documentation.

Document & Records Management

  • Organize and maintain regulatory filing records and precedent files within the firm's document management system.
  • Archive correspondence, filings, government notices, and related transaction materials.
  • Track active, completed, and terminated matters.

What You'll Bring

  • Bachelor's degree required.
  • Strong interest in mergers & acquisitions, corporate law, regulatory compliance, or antitrust matters.
  • Excellent written and verbal communication skills.
  • Exceptional attention to detail and accuracy.
  • Strong organizational and time-management skills.
  • Ability to manage multiple priorities in a fast-paced, deadline-driven environment.
  • Ability to work both independently and collaboratively as part of a team.

Technical Skills

  • Proficiency with Microsoft Office, particularly:

o Excel

o Word

o Outlook

  • Experience with Adobe Acrobat.
  • Experience using document management systems preferred.
  • Database experience (Access or similar) is a plus.

The base salary range below represents the low and high end of the salary range for this position in New York. This range may differ based on your geographic location and cost of living considerations. At Kirkland & Ellis, we consider compensation more than just a base salary.
