Mergers & Acquisitions Attorney: Middle-Market Deals with Hybrid Flexibility in Newport Beach

Our client, a well-regarded Orange County business firm, is seeking a mid-level Mergers & Acquisitions Attorney with 4+ years of experience to join its Newport Beach office. The team represents private equity sponsors, founders, and strategic buyers in middle-market acquisitions, recapitalizations, and exits.

This is a hybrid position. You will split your week between the Newport Beach office and home.

What You'll Do

• Draft and negotiate purchase agreements, merger agreements, and ancillary documents
• Lead due diligence and coordinate with tax, employment, and real estate specialists
• Manage signing and closing logistics
• Advise clients on deal structure, risk allocation, and post-closing matters
• Mentor junior associates on transaction execution

What We're Looking For

• J.D. from an accredited law school
• Active member of the State Bar of California in good standing
• 4+ years of M&A or corporate transactional experience
• Excellent drafting and negotiation skills
• Strong organizational skills and attention to detail
• Comfort working on a hybrid schedule
