A respected midsize law firm in the Detroit area is seeking an experienced Mergers & Acquisitions Attorney to join its corporate practice. This position is ideal for an attorney with 4 to 8 years of experience handling complex business, corporate, and M&A matters who is ready to take an active role in sophisticated transactions.
The attorney will work closely with clients and other members of the legal team on a variety of corporate transactions, with significant responsibility for drafting, negotiating, and managing complex agreements.
Key Responsibilities- Draft and negotiate stock purchase agreements
- Draft and negotiate asset purchase agreements
- Prepare and negotiate limited liability company operating agreements
- Draft joint venture documents and agreements
- Draft and negotiate sales agreements and other commercial contracts
- Handle complex business, corporate, and M&A matters
- Assist with mergers, acquisitions, and other strategic transactions
- Work directly with clients throughout the transaction process
- Provide practical legal guidance related to corporate and transactional matters
Qualifications- J.D. from an accredited law school
- Active Michigan Bar admission
- 4 to 8 years of experience in corporate, business, and M&A matters
- Strong experience drafting and negotiating sophisticated transactional agreements
- Experience with stock purchases, asset purchases, LLC operating agreements, joint ventures, and commercial contracts
- Strong drafting, negotiation, analytical, and communication skills
- Ability to handle complex transactional matters with a high level of independence
- Law firm or relevant corporate legal experience
